“根據，依據、按照”的表達在英文合同中使用非常頻繁，特別是重要的責任義務(wù)條款和規定，要么依據法律法規，要么依據本合同其他條款的相應規定。因此，必須對此類(lèi)表達非常明確，不可含糊。常用的表達方式有：

in accordance with; under; pursuant to，according to， subject to，on the basis of 等等。

 

例中標人的投標保證金， 在中標人按本須知第34條規定簽訂合同，按本須知第35條規定交納了履約保證金，并按本須知第36條規定交納了招標服務(wù)費后予以退還。

The successful Bidder’s bid security wi11 be discharged upon the Bidder signing the contract,

pursuant to ITB Clause 34, and furnishing the performance security, pursuant to ITB Clause 35,and payment of Tendering service fee pursuant to ITB Clause 36.

 

例Agency shall not commence work on any project pursuant to this Agreement without first estimating costs for preparation, including copy, service layout, art, engraving, typography, processing, paste up and production. After determining the estimated cost, completion of the work shall be subject to Advertiser’s prior approval.

例The bid security is required to protect the Tendering Agent and the Tenderer against the risk of Bidder’s conduct which would warrant the security’s forfeiture, pursuant to ITB Clause 15.7.

例This Agreement shall be construed and enforced in accordance with the laws of the state of China.

例招標人根據招標項目的具體情況，可以組織潛在投標人踏勘項目現場(chǎng)。

In accordance with the specific circumstances of the project for which bids are invited, the bid inviting party may organize an on-the-spot survey of the project for the potential bidders.

 

例On the FOB basis, the Buyer shall book shipping space in accordance with the date of shipment specified in the Contract.

按照FOB條件，由買(mǎi)方負責根據合同規定的裝運日期洽定艙位。

 

例Advertiser shall not be obligated to reimburse Agency for any travel or other out-of-pocket expenses incurred in the performance of services pursuant to this Agreement unless expressly agreed by Advertiser in advance.

廣告商將沒(méi)有責任支付根據此項協(xié)議任何在執行此服務(wù)中所產(chǎn)生的任何旅行費用或其它實(shí)付費用，除非提前由由廣告商明確同意。

 

例The contractor shall, in accordance with this contract, enjoy full autonomy in its business operation and be responsible for their own profits and losses.

例The Bidder’s separation of price components in accordance with ITB Clause 11.2 above will be solely for the purpose of facilitating the comparison of bids by the Tendering Agent and the

Tenderer and will not in any way limit the Tenderer’s right to contract on any of the terms

投標人根據本須知第11.2條的規定將投標價(jià)分成幾部分，只是為了方便招標機構和招標人對投標文件進(jìn)行比較，并不限制招標人以上述任何條件訂立合同的權力。

 

例If, in accordance with the provisions of the preceding paragraph, a shareholder fails to pay its subscribed Capital Contribution, the shareholder in question shall bear the responsibility of default to the other shareholders who have fully paid their capital contributions.

股東不按照前款規定繳納所認繳的出資，應當向已足額繳納出資的股東承擔違約責任。

 

例The Company acknowledges that the consultant is an employee of THE CONSULTANT and is subject to the UT’s policies, including policies concerning consulting, conflicts of interest, and intellectual property.

例In the event of any dispute between Areas arising as to whether a particular vessel shall be considered for commission, Manufacturer shall be the sole arbitrator to give final judgement according to the situation.

假如在地區之間出現了對一種特別船只是否應被考慮收取傭金產(chǎn)生分歧，生產(chǎn)商應是根據此情況給出最終裁決的唯一仲裁者。

 

例When, under the laws and approval from the relevant authorities, this company is converted into a company limited by shares, the total amount which shares are converted into shall be equivalent to the amount of the company’s net assets.

本公司依照法律并經(jīng)有關(guān)部門(mén)批準變更為股份有限公司時(shí)，折合的股份總額應當相等于公司凈資產(chǎn)額。

 

例投標人根據招標文件載明的項目實(shí)際情況，擬在中標后將中標項目的部分非主體、非關(guān)鍵性工作進(jìn)行分包的，應當在投標文件中載明。

Article 30 If a bidder, on the basis of the actual circumstances of the project as specified in the bid invitation documents, intends to subcontract out some of the non-principal, non-key parts of the work after its bid is accepted, it shall specify the same in the bid documents.

 

例投標人根據招標文件載明的項目實(shí)際情況，擬在中標后將中標項目的部分非主體、非關(guān)鍵性工作進(jìn)行分包的，應當在投標文件中載明。

If a bidder, on the basis of the actual circumstances of the project as specified in the bid invitation documents, intends to subcontract out some of the non-principal, non-key parts of the work after its bid is accepted, it shall specify the same in the bid documents.

 

例中標人按照合同約定或者經(jīng)招標人同意，可以將中標項目的部分非主體、非關(guān)鍵性工作分包給他人完成。接受分包的人應當具備相應的資格條件，并不得再次分包。

Subject to the provisions of the contract or the consent of the bid inviting party, the winning bidder may subcontract out the completion of some of the non-principal, non-key parts of the work for the project which it has won.
