Provided that any such consent, approval, certificate or determination shall not unreasonably be withheld or delayed.

The Agent and its affiliates may make loans to, accept deposits from, and generally engage in any kind of business with, the Borrower as though the Agent in question were not as an Agent.

例The Contractor shall be deemed to have satisfied himself as to the correctness and sufficiency of the Tender and of the rates and prices stated in the Bill of Quantities, all of which shall, except insofar as it is otherwise provided in the Contract, cover all his obligations under the Contract (including those in respect of the supply of goods, materials, Plant or services or of contingencies for which there is a Provisional Sum) and all matters and things necessary for the things necessary for the proper execution and completion of the Works and the remedying of any defects therein.

例If Acceptance Standard still fails to be fulfilled in the further tests, Licensor shall pay Licensee liquidated damages as specified in Appendix 1, unless otherwise stipulated in Contract. Licensee shall sign the acceptance certificate upon acceptance of the liquidated damages, while Licensor shall not be released from its guarantee obligations.

如果在如下的考核中仍不能達到驗收標準，除非合同另有規定，許可方應按照合同附件一的規定賠償被許可方違約金，被許可方應在收到違約金后簽署驗收證書(shū)，但許可方的保證義務(wù)并沒(méi)有免除。 

 

例Bank charges in respect of transfers are payable by the first beneficiary unless otherwise specified by the bank. The transferring bank shall have no obligations to effect the transfer until such charges are paid.

除非銀行另有規定，有關(guān)轉讓的銀行費用應由第一受益人支付。在該費用付清之前，轉讓行無(wú)辦理轉讓的義務(wù)。

 

例The risk of damage to or loss of the goods shall be borne by the seller prior to the delivery of the subject matter and by the buyer after delivery, except as otherwise stipulated by law or agreed upon by the parties.

貨物毀損、滅失的風(fēng)險，在貨物交付之前由賣(mài)方承擔，交付之后由買(mǎi)方承擔，但法律另有規定或者雙方另有約定的除外。

 

例Where the seller sells the goods delivered to a carrier for carriage and is in transit, unless otherwise agreed upon by the parties, the risk of damage to or missing of the goods shall be borne by the buyer as of the time of establishment of the contract.

賣(mài)方交由承運人運輸的在途貨物，除雙方另有約定的以外，毀損、滅失的風(fēng)險自合同成立時(shí)起由買(mǎi)方承擔。

 

例Unless otherwise provided by law, the seller shall have the obligation to warrant that no third party shall exercise against the buyer any rights with respect to the delivered subject matter.

賣(mài)方就交付的標的物，負有保證第三人不得向買(mǎi)方主張任何權利的義務(wù)，但法律另有規定的除外。

 

 

例This provision shall apply to all documentary credits, including standby letters of credit, to the extent to which the credits in question shall be applicable, and shall be binding on the Parties to the Contract, unless otherwise expressly agreed by the Parties thereto.

本條規定適用于一切跟單信用證，并包括在其適用范圍內的備用信用證，除非另有約定，對合同各有關(guān)方面均具有約束力。

 

例Unless otherwise specified in the credit, banks will accept a document bearing a date of issuance prior to that of the credit, subject to such document being presented within the time limits specified in the credit and in these articles.除非信用證另有規定，銀行將授受出單日期早于信用證開(kāi)證日期的單據，但該單據須在信用證和本條文規定的時(shí)限之內提交。

 

例Bank charges in respect of transfers are payable by the first beneficiary unless otherwise specified by the bank. The transferring bank shall have no obligations to effect the transfer until such charges are paid.
