CONTRACT OF WHITE RICE TRADE

         白米（出口）買(mǎi)賣(mài)合同

賣(mài)方：中國某公司

買(mǎi)方：英國某公司

雙方同意按照下列條款由賣(mài)方出售，買(mǎi)方購進(jìn)以下貨物：

The sellers agree to sell and the buyers agree to buy the under mentioned goods on the terms and conditions stated below:

1、  貨物名稱(chēng)、規格、包裝和原產(chǎn)地

 Name of the commodity, specifications, packing and original

白米，長(cháng)形，碎粒最高25%， 雜質(zhì)最高0.25%，水份最高13%，50公斤/ 每袋，麻袋包裝。

white rice, long shaped broken grains (max.) 25% admixture (max.) 0.25% and moisture (max.) 13%. packed in gunny bags of 50 kilos each.

原產(chǎn)地： 中國  Original : China

2、數量 quantity：   1000公噸  M/T

  賣(mài)方有權在3% 內多裝或少裝 shipment 3 % more or less at seller’s option

3、單價(jià) unit price 

每公噸200美元CIF紐約   USD 200 per M/T CIF New York

4、總值：200 000美元 Total Amount: Two hundred thousand US Dollars only

5、裝運期限：3 月份裝運  Time of shipment: shipment during March of this year.

6、裝運口岸： 中國上海港  Port of loading: Shanghai port, China

7、目的口岸： 英國倫敦港 Port of destination: London port, Britain

8、保險：

由賣(mài)方按發(fā)票金額的110% 投保水漬險，加保短量險，按1981年1月1日中國人民保險公司海洋運輸貨物保險條款為準。

Insurance to be covered by the sellers for 110% of the invoice value against W.P.A including shortage in weight as per and subject to the Ocean Marin Clauses of the People’s Insurance Company of China dated Jan. 1, 1981.

 9、付款條件：憑保兌的、不可撤銷(xiāo)的即期信用證在中國憑單付款。信用證以賣(mài)方為受益人，并允許分批裝運和轉船，該信用證必須在裝運約15天前開(kāi)到賣(mài)方，并在裝船后在上述裝運港繼續有效15天。否則賣(mài)方無(wú)須通知即可有權取消本合同，并向買(mǎi)方索賠因此而發(fā)生的一切損失。

Term of payment: by confirmed, irrevocable Letter of Credit in favor of the sellers payable at sight against presentation of shipping documents in China, with partial shipments and transshipment allowed. The covering Letter of Credit must reach the sellers 15 days before the contracted month of shipment and remain valid in the above loading port until the 15th day after shipment, failing which the sellers reserve the right to cancel the contract without further notice and to clain against the buyers for any loss resulting there form.

10、單據： 賣(mài)方應向議付銀行提供已裝船清潔提單、發(fā)票、中國商品檢驗局出具的品質(zhì)證明和數量/ 重量鑒定書(shū)，以及可轉讓的保險單。

Documents: the sellers shall present to the negotiating bank, clean and on board bill of loading, invoice, quality certificate and survey report on quantity/weight issued by the China Commodity Inspection Bureau, and transferable insurance policy.

11、裝運條件： Terms of shipment

   ⑴ 裝運船只由賣(mài)方安排，允許分批裝運及轉船。

The carrying vessel shall be provided by the sellers. Partial shipment and transshipment are allowed.

   ⑵ 賣(mài)方于貨物裝船后，應將合同號碼、品名、船名、裝船日期以電報通知買(mǎi)方。

After loading is completed, the seller shall notify the buyers by cable of the contracted number, name of commodity, name of the carrying vessel and date of shipment.

12、品質(zhì)、數量、質(zhì)量的異議與索賠：Quality/ quantity discrepancy and claim:

貨到目的口岸后，買(mǎi)方如發(fā)現貨物品質(zhì)或數量或重量與合同規定不符，除屬保險公司或船公司的責任外，買(mǎi)方可憑雙方同意的檢驗機構出具的檢驗證書(shū)向賣(mài)方提出異議。品質(zhì)異議須于貨到目的地口岸30日內提出，數量、重量異議須于貨到目的地口岸15日內提出。賣(mài)方應于收到異議后30日內答復買(mǎi)方。

In case the quality and/or quantity/ weight are found by the buyers to be nbot in conformity with the contract after the arrival of the goods at the port of destination, the buyers may lodge claim with the sellers supported by both parties, with the exception, however, of those claims for which the insurance company and /or the shipping company are to be held responsible. Claim for quality discrepancy should be filed by the buyers within 30days after the arrival of the goods at the port of destination, while for quantity/weight discrepancy claim should be filed by the buyers within 15 days after the arrival of the goods at the port of destination. The sellers shall, within 30days after receipt of the notification of the claim, send reply to the buyers.

13、不可抗力 Force Majeure

由于人力不可抗拒之事故，使賣(mài)方不能在本合同規定期限內交貨或不能交貨，賣(mài)方不負責任。但賣(mài)方須盡快以電報通知買(mǎi)方，并在事故發(fā)生后15天內以?huà)焯栃畔蛸I(mǎi)方提供由中國國際貿易促進(jìn)委員會(huì )或有關(guān)機構出具的事故證明。

In case of Force Majeure, the sellers shall not be held responsible for late delivery or non-delivery of the goods but shall notify the buyers by cable as soon as possible and give the buyers a certificate by the China Council for the Promotion fo International Trade or other competent authorities by registered mail issued.

14、仲裁 Arbitration

  在履行合同時(shí)合同雙方如發(fā)生爭議，雙方應通過(guò)相互協(xié)商解決。如協(xié)商不成，則仲裁解決。仲裁應在中國上海進(jìn)行，由中國國際貿易促進(jìn)會(huì )對外經(jīng)濟貿易仲裁委員根據其仲裁程序進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費由敗訴方承擔。

Any disputes arising form the execution of or in connection with the contract shall be settled through mutual consultations between the parties thereto. In case no settlement can be reached through consultations, the disputes in question shall be submitted for arbitration. The arbitration shall take place in shanghai, China, and shall, in accordance with its rules of procedure, be conducted by the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade. The arbitration award shall be final and binding on the parties thereto. The cost of arbitration shall be borne by the losing party.

15、文本與份數  Language and copies

This Contract shall be written in English in four copies. Each party shall keep two                   copies.

本合同以英文書(shū)就，一式四份，雙方各持兩份。
