1.    合同概述OVERVIEW OF AGREEMENT
本合同條款是規定信息技術(shù)公司擬于系統集成項目中提供客戶(hù)服務(wù)及“產(chǎn)品”的相關(guān)規范。有關(guān)“項目”所提供的特定服務(wù)及/或“產(chǎn)品”內容,請詳見(jiàn)“工作說(shuō)明書(shū)”及本合同“附件”規定。
These Terms and Conditions set out the terms under which INFORMATION TECHNOLOGY CO will supply services and Products to Client in a systems integration project.  The specific services and/or Products to be delivered for the Project are set out in a Statement of Work and the Schedules which are incorporated in the Agreement.
 
2.    定義DEFINITIONS
2.1   “驗收測試”是指依照雙方同意并規定于“需求定義”內的客觀(guān)標準,證明“系統”或“模塊”符合規格的測試。
"Acceptance Test" means tests based on objective criteria agreed and documented in the Requirements Definition demonstrating that the System or Modules meet the Specifications.
 
2.2   “修改”是指將非信息技術(shù)公司所提供零件、電路板及次裝配與 “設備”組合,或修改其它非信息技術(shù)公司制作的設備或“軟件”。
"Alterations" means the incorporation of nonINFORMATION TECHNOLOGY CO supplied components, boards and subassemblies into Equipment, as well as modifications to equipment or Software other than those made by INFORMATION TECHNOLOGY CO.
 
2.3   “附加裝置”是指(但不限于)任何非信息技術(shù)公司所提供的設備、軟件、零件或裝置,且其由信息技術(shù)公司以外的人將其與信息技術(shù)公司的“產(chǎn)品”相連接。
"Attachments" means, but is not limited to, any equipment, software, components or devices, not provided by INFORMATION TECHNOLOGY CO, which are connected to INFORMATION TECHNOLOGY CO Products by anyone other than INFORMATION TECHNOLOGY CO.
 
2.4   “變更請求”是指任一當事人用來(lái)請求變更“工作說(shuō)明書(shū)”的文件。
"Change Request" means a document used by either party to request changes to the Statement of Work.
 
2.5   “客戶(hù)審查期”是指“工作說(shuō)明書(shū)”內所規定應交付工作項目送交客戶(hù)后的審查期。如“工作說(shuō)明書(shū)”內未就個(gè)別應交付的工作項目訂定審查期,則“客戶(hù)審查期”應為五(5)日。
"Client Review Period" means the period for review set out in the Statement of Work following delivery to Client of a deliverable.  If no period is set out in the Statement of Work for a particular deliverable, then the Client Review Period shall be five (5) working days.
 
2.6   “客戶(hù)化軟件”是指于“項目”期間依據約定“規格”所開(kāi)發(fā)的軟件及/或先前存在軟件的修訂版。
"Customized Software" means software and/or modifications to preexisting software prepared during a Project according to agreed Specifications.
 
2.7   “設備”是指本合同“附件”所規定提供作為“項目”一部份的設備。
"Equipment" means the equipment supplied as part of a Project as specified in a Schedule to the Agreement.
 
2.8   “安裝日期”是指信息技術(shù)公司完成“產(chǎn)品”安裝的日期;或,如“產(chǎn)品”將由客戶(hù)自行安裝,則為“產(chǎn)品”裝運后第十日。
"Installation Date" means the date INFORMATION TECHNOLOGY CO completes installation of a Product or, if Products are to be installed by Client, the tenth day following shipment.
 
2.9   “模塊”是指“系統”其可分離且可辨識部份。
"Module" means a discrete and identifiable part of the System.
 
2.10 “驗收后支持期間”是指“驗收測試”完成后,信息技術(shù)公司將以收費方式派遣“項目團隊”成員提供客戶(hù)顧問(wèn)與協(xié)助服務(wù)約定期間。
"Post Acceptance Support Period" means an agreed period of time following completion of Acceptance Tests when INFORMATION TECHNOLOGY CO makes available, at a charge, members of the Project Team to provide consultancy and assistance to Client.
 
2.11 “產(chǎn)品”是指“設備”、“軟件”、文件(包括手冊)及培訓教材。
"Products" means Equipment, Software, documentation (including manuals) and training materials.
 
2.12 “產(chǎn)品支持服務(wù)”是指就標準“產(chǎn)品”所提供的各種類(lèi)型安裝、維護及支持服務(wù)。
"Product Support Services" means various forms of installation, maintenance and support for standard Products.
 
2.13 “項目”是指“項目服務(wù)”訂購單或“工作說(shuō)明書(shū)”及相關(guān)“附件”內所規定,經(jīng)信息技術(shù)公司于本合同下接受的“產(chǎn)品”、服務(wù)、工作及應交付工作項目。
"Project" means the Products, services, tasks and deliverables described in an order for Project Services or Statement of Work and related Schedules which is accepted by INFORMATION TECHNOLOGY CO under this Agreement.
 
2.14 “項目管理計劃”是指為管理“項目”而依據“工作說(shuō)明書(shū)”所訂定的詳細計劃。“項目管理計劃”于“項目”進(jìn)行期間將斟酌考慮條件變化因素而更新。”項目管理計劃”的修改不得增加“項目”范圍。
"Project Management Plan" means the detailed plan, based on the Statement of Work, for administering a Project.  The Project Management Plan is updated during the course of the Project to take account of evolving circumstances.  Amendment of the Project Management Plan cannot increase the scope of the Project.
 
2.15 “項目范圍審查”是指設計階段結束時(shí)所進(jìn)行“項目”剩余工作范圍的審查。
"Project Scope Review" means the review of the scope of the remaining tasks in a Project conducted at the end of the design phase.
 
2.16 “項目服務(wù)”是指“項目團隊”提供符合約定“規格”的應交付工作項目服務(wù)。
"Project Services" means the Project Team's efforts to provide deliverables which meet the agreed Specifications.
 
2.17 “項目團隊”是指受信息技術(shù)公司管理指揮以提供“項目服務(wù)”的團隊。“項目團隊”可能包括客戶(hù)的人員及經(jīng)信息技術(shù)公司同意或指派的次承包商。
"Project Team" means the team managed by INFORMATION TECHNOLOGY CO which provides Project Services.  The Project Team may include Client personnel and subcontractors approved or appointed by INFORMATION TECHNOLOGY CO.
 
2.18 “專(zhuān)有信息”是指“軟件”、診斷、文件(包括手冊)及任何其它經(jīng)書(shū)面注明為對信息技術(shù)公司、其授權人或客戶(hù)具機密性的信息。
"Proprietary Information" means Software, diagnostics, documentation, including manuals, and any other information identified in writing as confidential to INFORMATION TECHNOLOGY CO, its licensors, or Client.
 
2.19 “需求定義”是指就新系統的需求為文檔,包括驗收標準及驗收程序。“需求定義”可能包含于“工作說(shuō)明書(shū)”之內或于“項目”初期以應交付工作項目報告的形式呈現。
"Requirements Definition" means the document defining the requirements for the new system including the acceptance criteria and Acceptance Test procedures.  The Requirements Definition may be included in the Statement of Work or may be produced as a deliverable report at an early stage of the Project.
 
2.20 “附件”是指議定的“工作說(shuō)明書(shū)”及規范供應作為“項目”一部份的“產(chǎn)品”、服務(wù)、工作及應交付工作項目的其它附件。
"Schedule" means the agreed Statement of Work and other attachments specifying Products, services, tasks and deliverables to be supplied as part of the Project.
 
2.21“軟件”是指計算機程序的計算機語(yǔ)言及與其相關(guān)文件,但不包含維修診斷法。信息技術(shù)公司所提供的原始碼亦包含于“軟件”范圍內。此外,使設備依照公布的規格運作但未嵌入電路的微碼,亦包含于“軟件”范圍內。
"Software" means the object code version of computer programs and any related documentation, excluding maintenance diagnostics. Software also means the source code version where provided by INFORMATION TECHNOLOGY CO.  Software also means microcode, not embedded in a circuit element, that enables equipment to function according to its published specifications.
 
2.22“軟件處理器”(SPU)是指控制及執行“軟件”的設備。
"Software Processing Unit (SPU)" means equipment which controls and executes Software.
 
2.23“規格”是指雙方就“客戶(hù)化軟件”及“需求定義”所規定的“項目”其它組件所約定規格。”規格”應依照本合同中的變更控制條款進(jìn)行修改。
"Specifications" means the agreed specifications for Customized Software and other elements of the Project set out in the Requirements Definition, as modified in accordance with the change control provisions of this Agreement.
 
2.24“工作說(shuō)明書(shū)”是指雙方同意就需求、工作及應交付“產(chǎn)品”及服務(wù)所議定界定“項目”范圍的明確說(shuō)明。
"Statement of Work" means a specific agreed statement of requirements, tasks and deliverable Products and services defining the scope of a Project.
 
2.25“系統”是指信息技術(shù)公司所交付,且將于客戶(hù)化及集成服務(wù)后依照“規格”進(jìn)行測試的“產(chǎn)品”組合。
"System" means the combination of Products delivered by INFORMATION TECHNOLOGY CO which are to be tested following customization and integration services for compliance with the Specifications.
 
3.生效日EFFECTIVE DATE
本合同自雙方當事人正式授權的代表簽署本合同之時(shí)起生效。本合同于其依本合同條款終止前均繼續有效。
This Agreement will become effective when signed by duly authorized representatives of both parties and will continue in effect until terminated according to its terms.
 
 
第一部份項目組織/系統集成及客戶(hù)化服務(wù)
PART I  PROJECT ORGANIZATION/SYSTEMS INTEGRATION AND CUSTOMIZATION SERVICES
 
4.系統集成服務(wù)/工作說(shuō)明書(shū)/訂購程序
SYSTEMS INTEGRATION SERVICES/STATEMENT OF WORK/ORDERING PROCEDURES
 
4.1信息技術(shù)公司將提供“附件”所列服務(wù)及“產(chǎn)品”。信息技術(shù)公司于“項目”所提供服務(wù)的種類(lèi),依個(gè)案而有所不同,但一般應包含如下服務(wù):
       INFORMATION TECHNOLOGY CO will provide the services and Products listed in the Schedules.  The nature of services provided by INFORMATION TECHNOLOGY CO in a Project will vary from project to project but examples of such services include:
 
將客戶(hù)需求書(shū)面化;Documenting the Client's requirements.
系統功能設計及技術(shù)設計;Functional and technical design of systems.
場(chǎng)地需求審查及提供建議;Review and recommendation of site requirements.
協(xié)調“產(chǎn)品”提供與客戶(hù)場(chǎng)地;Coordination of the supply of Products to Client's site.
“產(chǎn)品”開(kāi)發(fā);Development of Products.
由信息技術(shù)公司非專(zhuān)屬“項目”人員進(jìn)行品質(zhì)管理審核;
Quality assurance reviews by INFORMATION TECHNOLOGY CO personnel not involved in the Project on a full time basis.
 
“產(chǎn)品”安裝與集成;Installation and integration of Products.
支持或進(jìn)行“驗收測試”;Support for or conducting of Acceptance Tests.
 
評估培訓需求,并培訓客戶(hù)員工;
Evaluation of training requirements and training of Client's staff.
 
于“驗收后支持期間”內支持“客戶(hù)化軟件”及集成服務(wù);
Support of Customized Software and the integrated system during a Post Acceptance Support Period.
 
“產(chǎn)品”持續性維護及支持服務(wù);Ongoing maintenance and support of Products.

4.2“工作說(shuō)明書(shū)”及其它“附件”界定“項目”的范圍,其內容包含:
Each Project is defined in a Statement of Work and the other Schedules which include:
 
信息技術(shù)公司所提供而客戶(hù)支付對價(jià)的“產(chǎn)品”及服務(wù);
The services and Products to be supplied by INFORMATION TECHNOLOGY CO and paid for by Client.
 
參與“項目”的當事人責任;The responsibilities of the parties participating in the Project.
協(xié)助當事人計劃“項目”的預定時(shí)間表;
An estimated timetable to assist the parties in planning the Project.
 
信息技術(shù)公司就某些應交付工作項目所必須達到的特殊標準(若有特殊標準的話(huà)),例如通過(guò)“驗收測試”的特殊標準;
Special criteria, if any, such as passage of Acceptance Tests, that INFORMATION TECHNOLOGY CO must meet for certain deliverables.
 
價(jià)格與付款程序。The prices and payment procedures.
4.3客戶(hù)應提出參照本合同一般條款填妥并簽名的信息技術(shù)公司追加訂單,向信息技術(shù)公司訂購以時(shí)間及材料為定價(jià)基準的其它標準“產(chǎn)品”及服務(wù)。若客戶(hù)訂購客戶(hù)化“產(chǎn)品”或服務(wù)不以時(shí)間及材料為定價(jià)基準者,應依照“變更請求”程序提出訂購需求或另以“工作說(shuō)明書(shū)”進(jìn)行約定。所有訂單,信息技術(shù)公司有權決定接受與否。信息技術(shù)公司以書(shū)面通知客戶(hù)后,該訂單方因信息技術(shù)公司之接受而生效力。信息技術(shù)公司收受客戶(hù)首付款或以之為保證金的行為并不做為信息技術(shù)公司接受訂單的效力。若信息技術(shù)公司不接受該訂單,信息技術(shù)公司將返還其所收收到的首付款。
Client may order additional standard Products and services priced on a time and materials basis by submitting properly completed INFORMATION TECHNOLOGY CO supplemental schedule orders referencing these general terms and conditions and signed by Client.  Orders for customized Products or services priced on any basis other than time and materials should be submitted in accordance with the Change Request procedures or through agreement of an additional Statement of Work.  All orders are subject to acceptance by INFORMATION TECHNOLOGY CO.  Acceptance by INFORMATION TECHNOLOGY CO will be effective when communicated in writing to Client.  The receipt or deposit by INFORMATION TECHNOLOGY CO of a Client down payment will not constitute acceptance of an order.  Any down payment received from Client will be returned if the order is not accepted by INFORMATION TECHNOLOGY CO.
 
4.4項目按特定完成標準,劃分里程碑及階段?蛻(hù)認同一些行為須同時(shí)履行;并同意如能有效利用“項目團隊”所擁有資源,以及達成預定時(shí)間表的目標,則后階段的行為也可以提前于前階段開(kāi)始。
A project may be divided into milestones and phases with specific criteria for completion.  Client recognizes that some activities may be performed concurrently and that efficient use of the resources available to the Project Team and the goal of meeting the planned timetable may mean that activities in subsequent phases are commenced during an earlier phase.
 
5.項目管理PROJECT ADMINISTRATION
5.1   雙方當事人承認,合作進(jìn)行項目管理是“項目”成功所不可或缺的。雙方當事人同意使用經(jīng)雙方議定的程序及格式報告工作進(jìn)展,并確認、追蹤及解決問(wèn)題、爭議及難題。除非另有約定,進(jìn)行程序將依據信息技術(shù)公司的方法,并記錄于“項目管理計劃”內。
The parties acknowledge that cooperative project administration is essential to the success of a Project.  Both parties agree to use mutually agreed processes and forms to report progress and to identify, track and resolve problems, issues and questions.   Unless otherwise agreed, the processes will be based on INFORMATION TECHNOLOGY CO methodologies and will be recorded in the Project Management Plan.
 
5.2   任一當事人均應指派項目經(jīng)理,作為其管理及其它有關(guān)“項目”技術(shù)性事務(wù)的主要代表。任一當事人均須相信他方當事人的項目經(jīng)理有權代表其公司,但任一項目經(jīng)理均無(wú)權修改或更改本合同或訂購單明示條款。
Each party shall appoint a project manager who shall be the primary representative of the party in relation to administration and other matters relative to the technical activity of the Project.  Each party may rely on the authority of the other party's project manager to represent its respective company, provided that neither project manager shall have the authority to amend or modify this Agreement or the express terms of an order.
 
5.3   除另有雙方當事人的授權代表書(shū)面約定外,任一當事人均不得于“項目”進(jìn)行期間及“驗收后支持期間”結束后十二(12)個(gè)月內,請求他方參與“項目”人員以受雇或其它方式為其服務(wù)。
Unless otherwise agreed in writing by authorized representatives of the parties, neither party may solicit the services (by way of employment or otherwise) of the other party's personnel involved in a Project during a Project and for the period ending twelve months after the end of the Post Acceptance Support Period.
 
6.需求定義及設計階段REQUIREMENTS DEFINITION AND DESIGN PHASES
6.1   需求定義階段 “需求定義”定義“項目”的范圍、“規格”、驗收標準及驗收程序。如“項目”開(kāi)始時(shí),雙方當事人同意“工作說(shuō)明書(shū)”內所規范的最初“需求定義”是不完整的,則“項目”的第一階段將為信息技術(shù)公司依據客戶(hù)意見(jiàn)準備“需求定義”的階段。如客戶(hù)認可該“需求定義”,則該“需求定義”報告應構成將被執行以滿(mǎn)足客戶(hù)需求的功能及系統規格的完整說(shuō)明,且取代所有先前的需求敘述或說(shuō)明。
Requirements Definition Phase  The Requirements Definition defines the scope of the Project, the Specifications, the acceptance criteria and the procedures for Acceptance Tests.  If at the start of the Project, the parties agree that the initial Requirements Definition reflected in the Statement of Work is incomplete, then the initial phase of the Project will be the preparation of a Requirements Definition by INFORMATION TECHNOLOGY CO based upon input from the Client.  When accepted by Client, the Requirements Definition report shall constitute the complete statement  of the functional and system specifications to be implemented in satisfaction of the Client's requirements and shall supersede all previous descriptions or statements of requirement.
 
6.2   系統設計階段 于設計階段,“需求定義”將被轉換為文檔形式,該文檔確認及描述將被提供其特定信息處理功能,集成系統的相關(guān)軟件和設備成分,及個(gè)別技術(shù)成分的敘述,該敘述應詳盡至足以使“項目團隊”去制作、取得、開(kāi)發(fā)及測試該被需求的成分。
System Design Phase  In the design phase, the Requirements Definition is converted into documents which identify and describe the specific information processing functions to be provided and the associated software and equipment components of the integrated system and descriptions of individual technology components in a level of detail sufficient to allow the Project Team to produce, acquire, develop and test the required components.
 
6.3   需求及規格應在應交付工作項目中說(shuō)明。如先前需求及規格說(shuō)明與之后被認可的交付工作項目?jì)热萦兴钟|、沖突或矛盾,則該抵觸、沖突或矛盾將依據較后經(jīng)認可的交付工作項目得以解決。
Requirements and specifications may be interpreted in deliverables.  In the event of a contradiction, conflict, or inconsistency between prior statements of requirements and specifications and a later approved deliverable, the contradiction, conflict, or inconsistency will be resolved in favor of the latest approved deliverable.
 
7.項目范圍審查PROJECT SCOPE REVIEW
7.1   于需求定義及設計階段完成前,“項目”的范圍(包括人力、“設備”、“軟件”及規模)尚未完全被界定。因此,于設計階段結束時(shí),如信息技術(shù)公司通知客戶(hù)表示其認為“項目”范圍已經(jīng)變更,則信息技術(shù)公司須開(kāi)始進(jìn)行“項目范圍審查”。
Prior to the completion of the requirements definition and design phases, the scope of the Project (including manpower, Equipment, Software, and sizings) is not fully defined.  Therefore, at the end  of the design phase, if INFORMATION TECHNOLOGY CO informs Client that it believes that the scope of the Project has changes, INFORMATION TECHNOLOGY CO may commence a Project Scope Review.
 
7.2   作為“項目范圍審查”之一部份,雙方當事人應決定以固定價(jià)格報價(jià)方式或以時(shí)間及材料估價(jià)方式,繼續“項目”剩余工作。雙方當事人同意任何時(shí)間及材料價(jià)格的預估并不具拘束效力,且完成剩余工作的實(shí)際價(jià)格應當高于或低于預估的價(jià)格。
As part of the Project Scope Review, the parties may decide to continue on the basis of either a fixed price quote or a time and materials estimate for the remaining tasks in the Project.  The parties recognize that any estimates of time and materials prices are not binding and that the actual price for completing the remaining tasks may be higher or lower than the estimates.
 
7.3   如信息技術(shù)公司開(kāi)始“項目范圍審查”,且信息技術(shù)公司采取收費方案高于先前預估,而客戶(hù)不同意該提案的,則客戶(hù)應要求縮減“項目”范圍。如信息技術(shù)公司提供新方案,且于誠信協(xié)商后,雙方當事人不同意有關(guān)“規格”、既定時(shí)間表及價(jià)格變更,則任一當事人應就“項目”剩余部分終止本合同。除應支付終止前已提供服務(wù)及已采購的“產(chǎn)品”所發(fā)生費用外,終止合同的當事人不對他方當事人負任何責任。
If INFORMATION TECHNOLOGY CO commences a Project Scope Review and the pricing proposal made by INFORMATION TECHNOLOGY CO is higher than previous estimates and if the Client does not agree to the proposal, then Client may request a reduction in the scope of the Project.  In the event that INFORMATION TECHNOLOGY CO provides a new proposal and the parties cannot agree, following good faith negotiations, to changes in the Specifications, planned timetable and price, then either party may terminate the Agreement for the remaining parts of the Project with no liability to the other party except for the payment for services performed and Products procured prior to termination.
 
8.客戶(hù)化及開(kāi)發(fā)CUSTOMIZATION AND DEVELOPMENT
如“工作說(shuō)明書(shū)”要求交付“客戶(hù)化軟件”,則“項目團隊”將根據“規格”提供服務(wù)以制作“客戶(hù)化軟件”。為完成“客戶(hù)化軟件”而從事的修改或開(kāi)發(fā)工作,將于“項目”中擬提供予客戶(hù)的客戶(hù)設備、軟件及“產(chǎn)品”上進(jìn)行,或使用為“項目”所租用的計算機使用時(shí)間。信息技術(shù)公司可以用“模塊”形式交付“客戶(hù)化軟件”。
If the Statement of Work requires the delivery of Customized Software, then the Project Team will provide services to produce Customized Software developed in accordance with the Specifications.  Modifications or development work to prepare Customized Software will be conducted on Client's equipment and software, Products to be supplied to Client in the Project or using computer time rented for the Project.  INFORMATION TECHNOLOGY CO may deliver Customized Software in the form of Modules.
 
9.控制變更CHANGE CONTROL
9.1如任一方當事人希望變更“規格”或“工作說(shuō)明書(shū)”,應遵守以下程序:
If either of the parties wish to alter the Specification or the Statement of Work the following procedure will apply:
 
 (a) 要求變更者(以下簡(jiǎn)稱(chēng)“發(fā)起方”)應發(fā)送“變更請求”予他方當事人(以下簡(jiǎn)稱(chēng)“接受方”),“變更請求”應包含以下內容:
The person who requests the change (the "Originator") will forward to the other party (the "Recipient") a Change Request which will include the following:
 
“項目”確認Project identification
“發(fā)起方”的名稱(chēng)及職稱(chēng)Originator's name and title
“變更請求”的日期The date of the Change Request
提議變更內容的敘述A description of the proposed change
提議變更的理由The reason for the proposed change.
(b)   信息技術(shù)公司將為“變更請求”編號并記錄。
INFORMATION TECHNOLOGY CO will assign a number to and log each Change Request.
 
(c)   所有“變更請求”將由“發(fā)起方”依照優(yōu)先級一(緊急)、優(yōu)先級二(普通)及優(yōu)先級三(驗收后)分類(lèi)。
All Change Requests will be categorized by the Originator as Priority 1 (urgent), Priority 2 (ordinary) or Priority 3 (post acceptance).
 
(d)   信息技術(shù)公司應依據“項目管理計劃”規定其優(yōu)先級分類(lèi)表,以合理的努力調查“變更請求”在價(jià)格、時(shí)間表、“工作說(shuō)明書(shū)”、“規格”及本合同相關(guān)義務(wù)層面所造成的影響(以下簡(jiǎn)稱(chēng)“影響研究”)。
INFORMATION TECHNOLOGY CO will make reasonable efforts to investigate the impact of the Change Request on the price, timetable, Statement of Work, Specifications and relevant obligations under the Agreement (the "Impact Study") in accordance with the schedule set out in the Project Management Plan for each priority category.
 
(e)   若“發(fā)起方”為客戶(hù),信息技術(shù)公司應通知客戶(hù)信息技術(shù)公司進(jìn)行“影響研究”的服務(wù)是否將有任何收費,而客戶(hù)應決定信息技術(shù)公司是否應進(jìn)行“影響研究”。
If Client is the Originator, INFORMATION TECHNOLOGY CO will inform the Client if there will be any charges for INFORMATION TECHNOLOGY CO services in conducting the Impact Study and Client will decide whether INFORMATION TECHNOLOGY CO should conduct the Impact Study.
 
(f)   若雙方當事人同意“影響研究”及有關(guān)于價(jià)格、時(shí)間表、“工作說(shuō)明書(shū)”、“規格”及本合同相關(guān)義務(wù)的任何必要修正,則本合同將自動(dòng)依雙方同意的內容變更。
If both parties agree on the Impact Study and any necessary amendments to the price, timetable, Statement of Work, Specification and relevant obligations under the Agreement, the Agreement will automatically be varied to take into account the agreed changes.
 
(g)   若雙方當事人無(wú)法依照本合同第9.1條同意“影響研究”或該必要的修正,“變更請求”將不生效力。
If the parties cannot agree upon the Impact Study or the necessary amendments under Section 9.1, the Change Request will not be implemented.
 
9.2雙方當事人將同意于“項目管理計劃”中預定交付以供審查及驗收之日的前一段期間內,不得變更“規格”。任何后續的“變更請求”將于客戶(hù)驗收后處理。
The parties will agree in the Project Management Plan to a period prior to any scheduled delivery for review and acceptance at which the Specifications will be frozen.  Any subsequent Change Request will be dealt with after acceptance by the Client.
 
10.客戶(hù)資源及責任CLIENT RESOURCES AND RESPONSIBILITIES
10.1 雙方當事人了解雙方的合作及團隊合作是“項目”成功所不可或缺的?蛻(hù)同意依據“項目管理計劃”所定義的時(shí)間表免費提供第十條及“工作說(shuō)明書(shū)”所詳列的資源給信息技術(shù)公司?蛻(hù)同意絕不不合理地拒絕或遲延提供任何同意、接受、信息、協(xié)助或其它經(jīng)要求或請求的客戶(hù)資源。
The parties acknowledge that cooperation and teamwork by both parties is essential to the success of a Project.  Client agrees to provide the resources detailed in this Section 10 and the Statement of Work at no charge to INFORMATION TECHNOLOGY CO and in conformance with the timetable defined in the Project Management Plan.  Client agrees not to unreasonably withhold or delay the provision of any agreement, acceptance, information, assistance or other resource required, or requested, of Client hereunder.
 
10.2 客戶(hù)應提供所有信息技術(shù)公司為提供服務(wù)、“產(chǎn)品”及“系統”所合理要求的信息、數據及文件。就任何客戶(hù)提供的軟件、文件、接口、數據或規格(以下簡(jiǎn)稱(chēng)“客戶(hù)信息”),客戶(hù)應對信息技術(shù)公司保證其有權使用或揭露予信息技術(shù)公司其所提供的所有客戶(hù)信息。如有任何人因客戶(hù)全部或部份未取得或享有的權限而向信息技術(shù)公司求償,則就因此所產(chǎn)生的損失或損害,客戶(hù)將負責賠償并使信息技術(shù)公司免于受到任何損失或損害。
Client shall provide all information, data and documentation reasonably required by INFORMATION TECHNOLOGY CO to deliver the services, Products and System.  With respect to any software, documentation, interfaces, data or specifications supplied by Client  ("Client Information"),  Client warrants to INFORMATION TECHNOLOGY CO that it has the right to use and to disclose to INFORMATION TECHNOLOGY CO all Client Information so provided.  Client will, at its own expense, indemnify and hold INFORMATION TECHNOLOGY CO harmless against any loss or damage arising from any claim based on the absence of such right in whole or in part.
 
10.3 當信息技術(shù)公司合理要求時(shí),客戶(hù)應指派特定的客戶(hù)經(jīng)理人員、技術(shù)人員及使用者人員參與必要的“項目”活動(dòng),包括“規格”的計劃與審查、軟件開(kāi)發(fā)、測試、導入、數據轉換、培訓、操作及項目管理?蛻(hù)應對應“項目管理計劃”所規定的信息技術(shù)公司團隊功能指派其員工?蛻(hù)應確保上述所有員工均已具備該功能所需的適當技能及經(jīng)驗,且其執行“項目”時(shí)將遵守信息技術(shù)公司合理的指示及要求?蛻(hù)決定時(shí)應提升至適當級別以使其能較易及時(shí)做決定。
Client shall assign specific Client managerial, technical and user personnel as reasonably requested by INFORMATION TECHNOLOGY CO to participate in essential Project activities, including, preparation and review of Specifications, software development, testing, migration activities, data conversion, training, operations, and project administration.  Client staff shall be assigned to correspond to the INFORMATION TECHNOLOGY CO team functions detailed in the Project Management Plan.  Client shall ensure that all such staff have reasonably adequate skills and experience for their respective functions and comply with the reasonable directions and requests of INFORMATION TECHNOLOGY CO in implementation of the Project. Client shall elevate required decisions to the appropriate level in its organization to facilitate the making of decisions in a timely manner.
 
10.4 在信息技術(shù)公司為提供本服務(wù)而合理需求內,客戶(hù)應給予信息技術(shù)公司適當權利使用其場(chǎng)所及設備,包括辦公室、數據處理及通訊設備。信息技術(shù)公司人員在客戶(hù)場(chǎng)所時(shí),應遵守客戶(hù)在合同簽訂前所告知信息技術(shù)公司的適用于所有其它承包商合理規范及程序。
Client shall provide INFORMATION TECHNOLOGY CO with adequate access to Client's premises and equipment, including office, data processing and communication facilities reasonably required for performance of the services.  INFORMATION TECHNOLOGY CO personnel shall comply with Client's reasonable regulations and procedures applicable to all third party contractors which are communicated to INFORMATION TECHNOLOGY CO prior to contract signature while on Client's premises.
 
10.5 操作責任Operating Responsibilities
(a)   客戶(hù)應對“產(chǎn)品”的操作使用負有責任,包括操作程序、稽核控管、輸入及輸出數據的正確性及安全性、重新開(kāi)始及復原的例行程序、及其它客戶(hù)使用“產(chǎn)品”必要程序。
Client has responsibility for the operational use of the Products, including operating procedures, audit controls, accuracy and security of input and  output data, restart and recovery routines, and other procedures necessary for Client's use of the Products.
 
(b)   客戶(hù)應負責確認操作人員均為受有適當使用及操作“產(chǎn)品”的教育及培訓者,并確認“產(chǎn)品”是依照相關(guān)手冊及指令被使用。
Client is responsible for making sure that operation personnel are, at all times, educated and trained in the proper use and operation of the Products and that the Products are used in accordance with applicable manuals and instructions.
 
(c)   客戶(hù)應負責儲存在必要時(shí)替代因任何原因遺失或受損客戶(hù)數據的備份數據。
Client is responsible for maintaining backup data necessary to replace Client data that is lost or damaged from any cause.
 
10.6 在信息技術(shù)公司提供“產(chǎn)品支持服務(wù)”或保修服務(wù)時(shí),客戶(hù)應(a)依照制造者的規格維持操作環(huán)境;(b)在設備附近提供適當的工作及存放空間以供信息技術(shù)公司人員使用;(c)給予信息技術(shù)公司使用設備的完整權限及充分使用計算機的時(shí)間,信息技術(shù)公司只應遵守客戶(hù)適用于其供貨商且已告知信息技術(shù)公司的安全規則;(d)遵守信息技術(shù)公司提出服務(wù)請求及決定修理服務(wù)是否必要的程序;(e)遵守信息技術(shù)公司操作員維護及獲得服務(wù)的指示;(f)如經(jīng)信息技術(shù)公司要求,以機器可判讀的形式,提供內存轉儲及額外數據;(g)重現其所發(fā)現的“軟件”錯誤及功能障礙;(h)安裝所有信息技術(shù)公司提供的錯誤更正及維護版本。
If INFORMATION TECHNOLOGY CO is providing Product Support Services or warranty services, Client will (a) maintain the operating environment according to the manufacturer’s specifications, (b) provide adequate working and storage space for use by INFORMATION TECHNOLOGY CO personnel near the equipment, (c) provide INFORMATION TECHNOLOGY CO  full access to the equipment and sufficient computer time, subject only to Client’s security rules applicable to its suppliers which are communicated to INFORMATION TECHNOLOGY CO, (d) follow INFORMATION TECHNOLOGY CO procedures for placing service requests and determining if remedial service is required, (e) follow INFORMATION TECHNOLOGY CO instructions for operator maintenance and obtaining services, (f) provide a memory dump and additional data in machine readable form if requested, (g) reproduce suspected errors or malfunctions in Software, and (h) install all error corrections and maintenance releases supplied by INFORMATION TECHNOLOGY CO.
 
11.客戶(hù)審查及驗收程序CLIENT REVIEW AND ACCEPTANCE PROCEDURES
11.1 如 “工作說(shuō)明書(shū)”確認應交付工作項目應經(jīng)客戶(hù)審查及驗收,則應適用本條規定。就無(wú)須經(jīng)客戶(hù)驗收的“產(chǎn)品”,該“產(chǎn)品”應于其安裝日視為已經(jīng)客戶(hù)驗收。
If the Statement of Work identifies deliverables that are subject to Client review and acceptance, then the provisions of this Section 11 shall apply.  For Products where no Client acceptance is required, then the Product will be considered accepted on its Installation Date.
 
11.2 審查及認可應交付工作項目的目的,僅做為確認是否遵守約定的“規格”及格式,而非為了提出新的需求。
Review and approval of deliverables will be solely for the purpose of determining compliance with agreedto Specifications and formats, not for the purpose of introducing new  requirements.
 
11.3 應交付工作項目的客戶(hù)審查期結束時(shí),客戶(hù)應:
By the end of the Client Review Period for any deliverable, Client shall:
 
-認為應交付工作項目符合“規格”而驗收;或
accept the deliverable as complying with the Specifications; or
 
-提供書(shū)面說(shuō)明,以合理的詳盡說(shuō)明確認應交付工作項目及其“規格”間的所有誤差。
provide a written statement identifying in reasonable detail all deviations between the deliverable and its Specifications.
 
如任何與“規格”不同的誤差,僅需些微修正,且不嚴重影響該應交付工作項目的“系統”或“模塊”的功能性操作,則該應交付工作項目將視為已被驗收,且該誤差將于驗收后的約定時(shí)間內修正。若可能,客戶(hù)應就部分交付工作項目為審查后認可或退還,而非等到全部應交付工作項目被審查后才提出認可或退還。
If any deviations from the Specifications require only minor corrections and do not materially affect the functional operation of the System or a Module thereof, then the deliverable will be considered accepted and the deviations will be corrected within an agreed period after acceptance.  Where possible, Client will review and approve or return portions of a deliverable and not wait until the total deliverable is reviewed to deliver comments.
 
11.4 如客戶(hù)發(fā)現任何與“規格”不同的誤差,信息技術(shù)公司將盡合理的可能盡快將其修正,且客戶(hù)將立即進(jìn)行特定測試或審查程序以核對該修正。依據所告知誤差而為修正行為的審查,其期間將少于一般全部審查,且該審查僅限于修正行為及其對應交付工作項目其它部分影響的審查。
If the Client identifies deviations from the Specifications, then INFORMATION TECHNOLOGY CO will make corrections as soon as reasonably possible and Client will promptly execute specific tests or review procedures to verify the corrections.  Reviews of corrective actions taken in response to reported deviations will be conducted in shorter time periods than the full reviews and will be limited to review of the corrective action and its impact on other parts of the deliverable.
 
11.5 驗收將成立于以下情況中較早發(fā)生者:(a)客戶(hù)依據第11.3條規定驗收應交付工作項目之日; (b)如客戶(hù)未依據第11.3條之規定通知信息技術(shù)公司,則為自“客戶(hù)審查期”預定結束日起第五(5)日;或 (c)客戶(hù)于執行驗收測試目的外,通過(guò)“系統”處理及時(shí)數據之日。
Acceptance will occur upon the earlier of  (a)  the date Client accepts the deliverable in accordance with Section 11.3; (b)  five (5) days from the scheduled end of the Client Review Period where Client has not notified INFORMATION TECHNOLOGY CO in accordance with Section 11.3; or c)  the date Client processes live data through the System for purposes other than carrying out Acceptance Tests.
 
11.6 信息技術(shù)公司應有權于執行“項目”其后階段時(shí),信賴(lài)客戶(hù)已驗收交付工作項目。
INFORMATION TECHNOLOGY CO shall be entitled to rely on Client's acceptance of a deliverable in performing later phases of the Project.
 
11.7 客戶(hù)就應交付工作項目所為的審查及驗收(包括“驗收測試”),適用以下其它程序:
Where the Client review and acceptance procedures for a  deliverable include Acceptance Tests, the following additional procedures apply:
 
(a)   測試數據、底稿及程序應依“項目管理計劃”準備。“項目團隊”應于正式測試前的“項目”期間內,使用這些項目暫時(shí)判別問(wèn)題及與“規格”不同的誤差,以矯正或修正這些問(wèn)題及誤差,并以此為開(kāi)發(fā)程序之一部份。
Test data, scripts, and procedures shall be prepared in accordance with the Project Management Plan.  It is acknowledged that the Project Team may use such items during the Project before formal testing to preliminarily identify problems and deviations from Specifications and to rectify or correct them as part of the development process.
 
(b)   除經(jīng)雙方以書(shū)面重新排定時(shí)間者外,“驗收測試”應于“工作說(shuō)明書(shū)”所規定的連續期間內執行完成。如客戶(hù)未于約定日期隨同進(jìn)行“驗收測試”,信息技術(shù)公司應有權于客戶(hù)缺席情況下進(jìn)行,且應視為客戶(hù)已同意信息技術(shù)公司所報告的結果。
Acceptance Tests shall be carried out for the continuous period set forth in the Statement of Work unless mutually rescheduled by the parties in writing.  If Client fails to attend on an agreed date, INFORMATION TECHNOLOGY CO shall be entitled to proceed in Client's absence and Client shall be deemed to have concurred with the results reported by INFORMATION TECHNOLOGY CO.
 
(c)   客戶(hù)應使用約定程序及形式,立即報告信息技術(shù)公司所有于“驗收測試”時(shí)所發(fā)現與“規格”不同的重大誤差。信息技術(shù)公司應盡可能于“驗收測試”時(shí)多修正這些誤差。未修正的誤差應記明于最終報告之內,以便再修正。
Client shall use agreed procedures and forms to promptly report to INFORMATION TECHNOLOGY CO all significant deviations from the Specifications detected during the Acceptance Test.  INFORMATION TECHNOLOGY CO will attempt to correct as many such deviations as possible during the Acceptance Test.  Uncorrected deviations shall be included in a final report for corrective action.
 
12.驗收后支持期間POST ACCEPTANCE SUPPORT PERIOD
信息技術(shù)公司將于客戶(hù)驗收后,由“項目團隊”的成員協(xié)助客戶(hù),以提供客戶(hù)建議及與客戶(hù)協(xié)商。“驗收后支持期間”的第一期期間長(cháng)短及客戶(hù)購買(mǎi)服務(wù)所需的“項目團隊”成員的數量規定于“工作說(shuō)明書(shū)”?蛻(hù)應于九十(90)日前事前通知信息技術(shù)公司,要求變更上述期間或人員數量,信息技術(shù)公司將通知客戶(hù)其是否有能力提供上述資源及其相關(guān)費用。
INFORMATION TECHNOLOGY CO will assist Client by supplying members of the Project Team to advise and consult with Client following acceptance.  The initial period for the Post Acceptance Support Period and the number of Project Team members whose services are purchased by the Client are set out in the Statement of Work.  Client may request changes to the time period or number of people by giving INFORMATION TECHNOLOGY CO 90 days advance notice and INFORMATION TECHNOLOGY CO will notify Client whether the resources are available and the price for them.
 
13.培訓TRAINING
13.1 客戶(hù)可以獲得信息技術(shù)公司為客戶(hù)的人員推薦或開(kāi)發(fā)培訓課程的服務(wù)。信息技術(shù)公司就排定的課程公布規定有課程時(shí)間、地點(diǎn)及條件的課程目錄。信息技術(shù)公司提供舉辦于雙方約定地點(diǎn)的客戶(hù)化課程。如上述課程于信息技術(shù)公司辦公場(chǎng)所以外地點(diǎn)舉辦,信息技術(shù)公司將事先通知客戶(hù)其應提供的培訓設備。
Client may acquire INFORMATION TECHNOLOGY CO services to recommend or develop a training program for Client's personnel.  INFORMATION TECHNOLOGY CO publishes a course catalog setting out the time, locations and conditions for scheduled courses.  INFORMATION TECHNOLOGY CO offers customized courses which will be held at mutually agreed locations.  If the courses are to be held on premises other than those of INFORMATION TECHNOLOGY CO, then INFORMATION TECHNOLOGY CO will no`tify Client in advance of the training facilities which Client should provide.
 
13.2 培訓課程的安排受限于班級大小,應遵守要求或取消班級所需提供的預先通知期間,及課程參與者所必須具備的知識條件的拘束?蛻(hù)應負責支付所有參加課程費用及支出。
Training courses are subject to conditions concerning the minimum and maximum size of classes, the period of advance notice which must be provided for ordering or canceling a class and the prerequisite knowledge required of course participants.  All charges and expenses involved in attending courses will be borne by Client.
 
13.3 培訓教材僅授權客戶(hù)本身為內部使用。
Training materials are licensed to Client solely for Client's internal use.
 
第二部分  設備及軟件提供
PART II  SUPPLY OF EQUIPMENT AND SOFTWARE
 
14.提供產(chǎn)品PRODUCTS SUPPLIED
信息技術(shù)公司將提供,且客戶(hù)將購買(mǎi)及驗收“附件”內所訂購的“產(chǎn)品”。如任何訂購“產(chǎn)品”于運送時(shí)缺貨,信息技術(shù)公司將以同等或具有較佳功能或性能的兼容產(chǎn)品進(jìn)行替代。
INFORMATION TECHNOLOGY CO will supply and Client will purchase and take delivery of the Products ordered in the Schedules.  If any Products ordered are not available at the time of shipment, INFORMATION TECHNOLOGY CO may substitute compatible items of equivalent or superior functionality and performance.
 
15.交付及安裝DELIVERY AND INSTALLATION
15.1 文檔 –信息技術(shù)公司須選擇以書(shū)面或電子文件形式,提供客戶(hù)一份當時(shí)適用使用者文檔及“設備”環(huán)境規格說(shuō)明,以利客戶(hù)使用“產(chǎn)品”?蛻(hù)得向信息技術(shù)公司購買(mǎi)增加的份數。
Documentation  INFORMATION TECHNOLOGY CO will provide Client with: one copy of the then current user documentation, in paper or electronic form, at INFORMATION TECHNOLOGY CO option, for use with the Products ordered and environmental specifications for Equipment, where applicable.  Additional copies may be purchased from INFORMATION TECHNOLOGY CO.
 
15.2 場(chǎng)地準備  “設備”交付前,客戶(hù)應依據上述文件所規定的環(huán)境規格,將安裝場(chǎng)地準備妥當,并持續進(jìn)行維護。
Site Preparation  Prior to delivery of Equipment, Client will prepare the installation site and will continue to maintain the installation site  according to the environmental specifications set out in the documentation.
 
15.3 交付  信息技術(shù)公司將安排“產(chǎn)品”的交付,如運輸價(jià)格未規定在附件內,客戶(hù)應依據信息技術(shù)公司所頒布交付時(shí)有效的運輸收費標準支付運輸費用;如信息技術(shù)公司未頒布任何上述收費標準,則客戶(hù)應依實(shí)際支出運費支付運輸費用予信息技術(shù)公司。
Delivery  INFORMATION TECHNOLOGY CO will arrange for delivery of Products and, if transportation prices are not included in the Schedule, Client will pay for transportation in accordance with the INFORMATION TECHNOLOGY CO published transportation charges in effect at the time of delivery or, if INFORMATION TECHNOLOGY CO has not published any such charges,  Client will pay INFORMATION TECHNOLOGY CO for transportation charges actually incurred.
 
15.4 安裝  “附件”列明將由信息技術(shù)公司負責安裝的“產(chǎn)品”。除另有約定者外,所有由信息技術(shù)公司安裝的“產(chǎn)品”將于信息技術(shù)公司正常工作時(shí)間內安裝?蛻(hù)應支付所有于客戶(hù)場(chǎng)地安裝“設備”所需纜線(xiàn)及場(chǎng)地特殊安裝材料的費用?蛻(hù)須依據信息技術(shù)公司當時(shí)標準收費內容及條件,就可由客戶(hù)自行安裝的“產(chǎn)品”要求由信息技術(shù)公司進(jìn)行安裝。
Installation  The Schedules identify which Products are to be installed by INFORMATION TECHNOLOGY CO.  All Products to be installed by INFORMATION TECHNOLOGY CO will be installed during INFORMATION TECHNOLOGY CO normal working hours unless otherwise agreed.   Client will pay for all cables and site specific installation materials required to install the Equipment at Client’s site.  Client may arrange for installation by INFORMATION TECHNOLOGY CO of Clientinstallable Products, subject to the thencurrent standard INFORMATION TECHNOLOGY CO charges and conditions.
 
15.5 特別場(chǎng)地需求  如因客戶(hù)特別場(chǎng)地需求而須額外安裝勞力及設備時(shí),客戶(hù)應支付上述所有費用及成本,包括符合全國或地方性法規需求的費用及成本。
Special Site Requirements  If additional labor and rigging is required for installation due to Client's special site requirements, Client will pay those costs including costs to meet union or local law requirements.
 
16.軟件授權LICENSE OF SOFTWARE
16.1 授權 – 信息技術(shù)公司僅就客戶(hù)內部在“軟件”最初安裝SPU上處理數據的需求,依據本合同條款授與客戶(hù)一項對人的、非專(zhuān)屬且不可轉讓的使用“軟件”及相關(guān)文件的權利?蛻(hù)同意信息技術(shù)公司須依雙方約定時(shí)間定期檢查計算機處所以查核信息技術(shù)公司所提供且安裝于客戶(hù)處的“軟件”。如非信息技術(shù)公司商品的“軟件”另有其知識產(chǎn)權人所簽個(gè)別授權合約,則就該“軟件”,該授權合約的條款將取代本合同相關(guān)的授權條款。
Grant of License  INFORMATION TECHNOLOGY CO grants to Client a personal, nonexclusive and nontransferable license to use Software and related documentation according to the terms and conditions of this Agreement, solely for Client's internal data processing requirements on the SPU on which Software is initially installed.   Client agrees that INFORMATION TECHNOLOGY CO may periodically inspect the computer site in order to audit the Software supplied by INFORMATION TECHNOLOGY CO installed at Client's site at mutually agreed upon times.  In the event that a separate license agreement from the owner of the Software accompanies nonINFORMATION TECHNOLOGY CO commodity Software, then the terms of the separate license agreement terms will supersede the license terms for that Software.
 
16.2 軟件修改 – 客戶(hù)可修改任何信息技術(shù)公司的應用“軟件”,并可將該“軟件”與其它程序或工具合并以形成更新產(chǎn)品。信息技術(shù)公司的應用“軟件”應于授權廢止或終止時(shí)從更新產(chǎn)品上移除出來(lái)并返還予信息技術(shù)公司?蛻(hù)不得于未經(jīng)著(zhù)作權人明示同意的情形下,修改任何附有第三人著(zhù)作權聲明的“軟件”。
Modification of Software  Client may modify any INFORMATION TECHNOLOGY CO application Software and may combine such with other programs or materials to form an updated work, provided that upon discontinuance or termination of the license, the INFORMATION TECHNOLOGY CO application Software will be removed from the updated work and returned to INFORMATION TECHNOLOGY CO.  Client will not modify Software which bears a copyright notice of any third party without the express agreement of the copyright owner.
 
16.3 還原工程 – 客戶(hù)不得就任何依本合同所提供的“軟件”進(jìn)行還原工程、反編譯或反組譯。
Reverse Engineering  Client will not reverse engineer, decompile or disassemble any Software provided under the Agreement.
 
16.4 備份復制 – 客戶(hù)就“軟件”的每一項目不得復制或持有超過(guò)一份存檔用(為備份目的)的拷貝。每份拷貝應包含所有說(shuō)明及聲明,并受到與原版相同的條件約束及限制。如任何被授權安裝“軟件”項目的SPU臨時(shí)無(wú)法使用,則該“軟件”的使用得暫時(shí)移轉至替代的SPU。
Backup Copies  Client will make and maintain no more than one archival copy (for backup purposes) of each item of Software.  Each copy will contain all legends and notices and will be subject to the same conditions and restrictions as the original.  If the SPU on which any item of Software is licensed becomes temporarily unavailable, use of such Software may be temporarily transferred to an alternative SPU.
 
16.5 開(kāi)發(fā)使用限制 – 客戶(hù)并未被授權使用任何操作系統“軟件”去使用、測試或開(kāi)發(fā)任何硬件產(chǎn)品或將由客戶(hù)或其它人為獲得報酬而銷(xiāo)售的操作裝置軟件或操作系統軟件?蛻(hù)可開(kāi)發(fā)其它軟件程序,并可測試第三人完全開(kāi)發(fā)且商業(yè)上可獲得的硬件產(chǎn)品或軟件程序,如該測試僅是意欲作為客戶(hù)內部評估該產(chǎn)品或程序對其所擁有內部數據處理的妥適性之用。
Limitation of Development Use  No license is granted to Client to use any  operating system Software to assess, test or develop any hardware products or device handler software or operating system software that will be marketed by Client or others for compensation.   Client may develop other software programs.  Client may test fully developed, commercially available third party hardware products or software programs where such testing is solely intended for Client’s internal evaluation of the fitness of such product or program for Client’s own internal data processing purposes.
 
16.6 額外授權 – 如客戶(hù)要求(a)以服務(wù)中心的形式使用“軟件”;(b)在另一處所使用“軟件”;(c)為了第16.5條所規定的禁止目的使用“軟件”;(d)移轉“軟件”操作性至使用予第三人,則客戶(hù)應事先請求信息技術(shù)公司書(shū)面許可。在請求后,信息技術(shù)公司將告知客戶(hù)是否在何條款規定下,信息技術(shù)公司將依客戶(hù)的請求授權使用“軟件”。所有適用于客戶(hù)的限制亦將適用于任何經(jīng)許可的服務(wù)中心使用或其它經(jīng)許可第三人使用者使用。
Additional Licenses  If Client desires to:  (a) use Software in a service bureau mode, (b) use Software at another location, (c) use Software for purposes prohibited in Section 16.5, or (d) transfer operational use of the Software to a third party; then Client shall request prior permission in writing from INFORMATION TECHNOLOGY CO.  Following a request, INFORMATION TECHNOLOGY CO will advise Client whether, and under what terms and conditions, INFORMATION TECHNOLOGY CO will license the Software as requested.  All restrictions applicable to Client will also apply to any permitted service bureau use or use by other permitted third party users.
 
16.7 無(wú)權利移轉 – 本合同并未移轉任何“軟件”、文件或“專(zhuān)有信息”的知識產(chǎn)權利予客戶(hù)。
No Transfer of Title  This Agreement does not transfer to Client title to any intellectual property contained in any Software, documentation or Proprietary Information.
 
16.8 軟件的未授權使用 – 除經(jīng)有效之書(shū)面授權,并付清所有使用“軟件”的相關(guān)費用而使用“軟件”外,任何人均無(wú)權使用任何“軟件”。但客戶(hù)須在第三人以書(shū)面同意受本合同有關(guān)“專(zhuān)有信息”及“軟件”的相關(guān)條款拘束下,授權第三人為客戶(hù)利益在第16.5條的范圍內暫時(shí)使用“軟件”去使用、測試或開(kāi)發(fā)軟件程序,或暫時(shí)使用“軟件”去提供顧問(wèn)服務(wù)或研究。
Unauthorized Use of Software  No party shall be entitled to use any Software unless the party has a valid written license to use such Software and all applicable charges for the use of such Software have been paid, except that Client may authorize temporary use of Software by a third party, only for Client’s benefit, to assess, test or develop software programs to the extent authorized by Section 16.5 or to perform consulting services and studies, provided such third party agrees in writing to be bound by the provisions of this Agreement regarding Proprietary Information and Software.
 
17.客戶(hù)化軟件的授權LICENSE OF CUSTOMIZED SOFTWARE
“客戶(hù)化軟件”授權如下:Customized Software is licensed as follows:
(a)   若“客戶(hù)化軟件”包括現存“軟件”版本的修改、增加及升級,相關(guān)的授權應適用本合同第16條的規定。
If the Customized Software consists of modifications, additions or enhancements to preexisting Software, then the license from INFORMATION TECHNOLOGY CO to Client will be on the same basis as Section 16.
 
(b)   就其它“客戶(hù)化軟件”,信息技術(shù)公司在依約收受全額對價(jià)后,授與客戶(hù)一非專(zhuān)屬、永久、不可撤銷(xiāo)之使用、修改及復制該“客戶(hù)化軟件”并免權利金的權利。
For other Customized Software upon payment of all sums under the Agreement, INFORMATION TECHNOLOGY CO grants Client a nonexclusive, perpetual, irrevocable, royalty free license to use, modify and copy the Customized Software.
