TECHNICAL SERVICE CONTRACT OF ARMORED CAR

Party A: (Supplier) NORINCO Equipment Co. Ltd  北方裝備有限責任公司
 
Party B: (Receiver) CHINA HUASHI GROUP REPRESENTAÇÃO EM ANGOLA，LIMITADA中國海山集團有限公司安哥拉分公司
 
Party A and Party B, intending to be legally bound, and in consideration of the mutual promises and covenants contained herein, agree as follows:
甲乙雙方根據本合同所列條文，以及同意此合同受法律約束的情況下，一致達成協(xié)議如下：
 
1. Item of service服務(wù)內容
The “Service” herein referred to, is the consulting, maintaining, repairing and improving for the armored car. The improving for bullet proof grade covers B1-B6.
本合同所指的服務(wù)，是指對裝甲運鈔車(chē)的維修、改造及咨詢(xún)服務(wù)，改造內容為針對B1-B6級的防彈改造。
 
Upon request by the Party B, the Party A shall keep the Party B informed about the applications, features, and specifications in the area of Armored car as they may broaden or change from time to time as well as be available for assisting in quality control issues.
應乙方要求，甲方應隨時(shí)告知乙方有關(guān)運鈔車(chē)領(lǐng)域的應用、特點(diǎn)和規格，因為此類(lèi)信息可能不時(shí)地擴大或改變，同時(shí)有助于質(zhì)量控制。
 
2、 Competition競爭
The Party A represents to the Party B that does not have any Agreement or Contract to provide consulting services to any other party, firm, or company in the Armored car industry on matters relating to the scope of this consultancy, and will not enter into any such Agreement or Contract during the term of this Contract. The party B acknowledges and agrees, however, that nothing in this Contract shall affect the obligation of Party A, or research on behalf of, the Party A or any component of The Party A, including, but not limited to, obligations or research of the Party A in connection with a transfer by the Party A of materials or intellectual property developed in whole or in part by the Party A, or in connection with research collaborations.
甲方向乙方保證甲方不會(huì )在此咨詢(xún)范圍內沒(méi)有任何協(xié)議或合同向運鈔車(chē)行業(yè)的任何一方、公司提供咨詢(xún)服務(wù)，并在此合同期限內也不會(huì )簽署此類(lèi)協(xié)議或合同。乙方認可并同意，然而，此協(xié)議沒(méi)有任何條款能改變顧問(wèn)方對其任何組成部分的義務(wù)或代表甲方及其任何組成部分進(jìn)行的研究，包括但不限于，由甲方全部或部分開(kāi)發(fā)的知識產(chǎn)權或材料或和研究合作有關(guān)的轉讓。
 
3. Price and Payment Terms價(jià)格及支付條約
Party B agrees to pay the amount of service fees for the fixed term of service as listed below to
Party A.
乙方同意按合同注明的服務(wù)期間支付甲方如下服務(wù)費用。
 
Total Amount:43,884USD合同總金額：43,884美元
SAY US DOLLAR FORTY THREE THOUSAND AND EIGHT HUNDRED EIGHTY FOUR ONLY.
 
4. Breach of contract違約規定
In the event that either party breaches any provision of the Contract that results in the other party incurring economic losses, the party in breach shall be liable to compensate the other party for the corresponding economic losses.
任何一方因違反本合同的任何條款導致對方蒙受經(jīng)濟損失的，違約一方應有義務(wù)賠償對方相關(guān)經(jīng)濟損失。
 
5. Jurisdiction and Lawsuit司法訴訟
This Contract is constructed and to be executed and interpreted by the laws of the People’s Republic of China.
本合同的訂立、執行和解釋均適用中華人民共和國法律。
 
Any controversy or claim arising hereunder that cannot be resolved by the parties themselves, shall be settled by arbitration in China,
任何不能由雙方自行解決的爭議和索賠，應在中國仲裁解決。
 
Any award rendered thereon shall be in writing and shall be final and binding on the parties and judgment may be entered thereon in any court of competent jurisdiction. Each party shall bear its own costs and expenses in connection with the arbitration and the costs and expenses of the arbitrators shall be borne as determined by the arbitrator.
任何由以上所述仲裁作出的裁決將為最終裁決并對雙方均具有約束力，任何擁有司法管轄權的法院均可依法執行。雙方應自行承擔與仲裁相關(guān)費用，仲裁費由仲裁庭決定。
 
6. Force Majeure不可抗力
The effected party shall notify the other party of the cases of force majeure occurred by telex or cable as soon as possible and shall send by registered airmail, within 20 days thereafter, a certificate issued by the authorities or departments concerned to the other party for confirmation. 受不可抗力影響的一方應盡快將發(fā)生不可抗力事故的情況以電傳或電報通知對方，并于其后二十天內以航空掛號信件將有權證明的機構出具的證明文件提交給另一方進(jìn)行確認。
 
Should the effect of the force majeure cases last for more than 100 days, both parties shall settle the problem of further execution of the Contract through friendly consultations as soon as possible. 如不可抗力時(shí)間影響持續超過(guò)100天，則雙方應盡快通過(guò)友好協(xié)商解決合同的執行問(wèn)題。
 
7. Confidentiality保密條款
Except as expressly set forth herein, the parties shall maintain in confidence the Confidential Information of the other side. The parties shall not disclose such Confidential Information to any third party without the prior written consent of the other side.
除非本合同有明確規定，合同任何一方應對對方的機密信息進(jìn)行保密，未經(jīng)對方書(shū)面許可不得將此類(lèi)機密信息透露給第三方。
 
Both parties shall abide by the terms of Confidentiality in this Contract and have obligation to maintain the Confidential Information after the termination of the Contract. The obligation shall end only upon the consent of the other side or only if the disclosure of the Confidential Information will not cause any loss of the other side.
雙方應遵守本合同中的保密條款，并且在本合同終止之后，各方仍需遵守本合同之保密條款，履行其所承諾的保密義務(wù)，直到對方同意其解除此項義務(wù)，或事實(shí)上不會(huì )因違反本合同的保密條款而給對方造成任何形式的損害為止。
 
8. Effectiveness of the Contract合同的效力
This Contract commences on the date when Party A receives the Contract duly signed and affixed with the Subscriber’s company chop.
本合同在甲方收到簽署者已妥善簽署并蓋上印章的合同當日正式生效。
 
9. Languages語(yǔ)言
The present Contract is drawn in Chinese and English as well, both texts being equally authentic. In case of any divergence of interpretation, the Chinese text shall prevail.
本合同以英文和中文書(shū)就，兩種文本具有同等效力。但在對其解釋產(chǎn)生異議時(shí)，以中文文本為準。
