10 General(總則)
Actions 項目
10.1 The Employer, the Contractor, the Project Manager and the Supervisor shall act as stated in this contract and in a spirit of mutual trust and co-operation. The Adjudicator shall act as stated in this contract and in a spirit of independence.
雇主、承包商、項目經(jīng)理和監理工程師應按本合同的規定,在工作中相互信任、相互合作。裁決人應按本合同的規定獨立工作。
 
11 Identified and defined合同用詞及其定義
Terms 11.1 In these conditions of contract, terms identified in the Contract Data are in italics and defined terms have capital initials.
在本合同的條件中,合同資料所確認的用詞以斜體字表示,另外專(zhuān)門(mén)定義的用詞首字母大寫(xiě)。
11.2 (1)The Parties are the Employer and the Contractor.當事方為雇主和承包商。
(2)Others are people or organizations who are not the Employer, the Project Manager, the Supervisor, the Adjudicator, the Contractor, or any employee, Subcontractor or supplier of the Contractor.
其他方為雇主、項目經(jīng)理、監理工程師、裁決人、承包商以及承包商的雇員、分包商或供應商以外的人員或機構。
 
(3)The Contract Date is the date when this contract came into existence.
合同生效日指本合同生效之日。
 
(4)To Provide the Works means to do the work necessary to complete the works in accordance with this contract and all incidental work, services and actions which this contract requires.
實(shí)施合同工程指根據本合同為完成合同工程所從事的必要工作,也指本合同要求的一切附帶作業(yè)、服務(wù)和工作。
 
(5)Works Information is information which either specifies and describes the works or states any constraints on how the Contractor Provides the Works and is either in the documents which the Contract Data states it is in or in an instruction given in accordance with this contract.
工程信息的內容為對合同工程的規定和說(shuō)明,或對承包商實(shí)施合同工程所用方法的要求;其形式可為合同資料規定的含有此種內容的文件,或按本合同發(fā)出的指令。
 
(6)Site Information is information which describes the Site and its surroundings and is in the documents which the Contract Data states it is in.
場(chǎng)地資料指描述工地現場(chǎng)及其周?chē)h(huán)境狀況的資料,及合同資料規定的含有此種資料的文件。
 
(7)The Site is the area within the boundaries of the site and the volumes above and below it which are affected by work included in this contract.
工程現場(chǎng)是指場(chǎng)地界限以?xún)鹊膮^域,以及受本合同工程影響的該區域上空和地下的范圍。
 
(8)The Working Areas are the working areas unless later changed in accordance with this contract.
施工作業(yè)區指合同資料中所指的施工作業(yè)區域,以及以后根據本合同變更的區域。
 
(9)A Subcontractor is a person or corporate body who has a contract with the Contractor to provide part of the works or to supply Plant and Materials which he has wholly or partly designed specifically for the works.
分包商為完成部分合同工程與承包商訂立合同關(guān)系、或供應由其專(zhuān)為合同工程全部或部分設計的設備和材料的個(gè)人或企業(yè)實(shí)體。
 
(10)Plant and Materials are items intended to be included in the works.
設備和材料指將用于合同工程上的設備和材料。
 
(11)Equipment is items provided by the Contractor and used by him to Provide the Works and which the Works information does not require him to include in the works.
施工設備是指由承包商提供并由其在實(shí)施合同工程時(shí)使用的設備,但工程信息未要求承包商將此類(lèi)設備用于合同工程上。
 
(12)The Completion Data is the completion date unless later changed in accordance with this contract.
竣工日為合同資料中所指定的竣工日,或以后根據本合同變更的竣工日期。
 
(13)Completion is when the Contractor has竣工是指承包商已經(jīng)
done all the work which the Works Information states he is to do by the Completion data and

corrected notified Defects which would have prevented the Employer from using the works.

(14)The Accepted Programme is the programme identified in the Contract Data or is the latest programme accepted by the Project Manager. The latest programme accepted by the Project Manager superseds previous Accepted Programme.
已認可的施工進(jìn)度計劃是指合同資料中所確定的施工進(jìn)度計劃,或項目經(jīng)理認可的最新施工進(jìn)度計劃。項目經(jīng)理認可的最新施工進(jìn)度計劃將取代所有先前已認可的施工進(jìn)度計劃。
 
(15)A Defect is a part of the works which is not in accordance with the Works Information or a part of the works designed by the Contractor which is not in accordance with the applicable law or the Contractor’s design which has been accepted by the Project Manager.
缺陷指合同工程中不符合工程信息的部分工程,或由承包商設計的部分工程不符合適用法律,或已為項目經(jīng)理認可的承包商設計。
 
(16)The Defects Certificate is either a list of Defects that the Supervisor has notified before the defects date which the Contractor has not corrected or, if there are no such Defects, a statement that there are none.
缺陷證書(shū)可以為一份在缺陷責任解除日之前,監理工程師已通知而承包商尚未改正的缺陷項目清單。如無(wú)缺陷時(shí),該證書(shū)也可成為一份無(wú)任何缺陷的申明。
 
(17)The Fee is the amount calculated by applying the fee percentage to the amount of Actual Cost.
間接費系指用間接費率乘以實(shí)際成本計算得出的金額。
 
12 Interpretation and the law 解釋與法律
12.1 In this contract, except where the context shows otherwise, words in the singular also mean in the plural and the other way round and words in the masculine also mean in the feminine and neuter.
除上下文另有說(shuō)明外,在本合同中,單數形式的用詞也具有復數的意義,反之亦然。陽(yáng)性形式的用詞也具有陰性和中性的意義。
 
12.2 This contract is governed by the law of the contract. 本合同受合同法管轄。
 
13 Communications   通知
13.1 Each instruction, certificate, submission, proposal, record, acceptance, notification and reply which this contract requires is communicated in a form which can be read, copied and recorded. Writing is in the language of this contract.
本合同要求的每一指令、證書(shū)、提交件、建議、記錄、認可、通知和答復函均應以可讀、可復制和可記錄的形式進(jìn)行聯(lián)系并用本合同語(yǔ)言書(shū)寫(xiě)。
 
13.2 A communication has effect when it is received at the last address notified by the recipient for receiving communications or, if none is notified, at the address of the recipient stated in the Contract Data.
當函件送達收件人告知的最新地址時(shí),函件方才生效。若收件人未告知最新地址,則當函件送達至合同資料中寫(xiě)明的收件人地址時(shí),函件即生效。
 
13.3 If this contract requires the Project Manager, the Supervisor or the Contractor to reply to a communication, unless otherwise stated in this contract, he replies within the period for reply.
若本合同要求項目經(jīng)理、監理工程師或承包商對函件作出答復,除非本合同另有規定,這一答復應在答復期內作出。
 
13.4 The Project Manager replies to a communication submitted or resubmitted to him by the Contractor for acceptance. If his reply is not acceptance, he states his reasons and the Contractor resubmits the communication within the period for reply taking account of these reasons. A reason for withholding acceptance is that more information is needed in order to assess the Contractor’s submission fully.
項目經(jīng)理應對承包商提交或再次提交要其認可的函件作出答復。若答復為不認可,項目經(jīng)理應說(shuō)明其理由,承包商應在答復期內考慮這些理由后再次提交函件。項目經(jīng)理不予以認可的理由為,尚需進(jìn)一步的資料以全面評價(jià)承包商所提交的函件。
 
13.5 The Project Manager may extend the period for reply to a communication if the Project Manager and the Contractor agree to the extension before the reply is due. The Project Manager notifies the extension which has been agreed to the Contractor.
若在函件答復期期滿(mǎn)之前,項目經(jīng)理和承包商均同意延長(cháng)函件答復期,項目經(jīng)理可以延長(cháng)函件答復期。項目經(jīng)理應將雙方同意的延長(cháng)期限通知承包商。
 
13.6 The Project Manager issues his certificates to the Employer and the Contractor. The Supervisor issues his certificates to the Project Manager and the Contractor.
項目經(jīng)理向雇主和承包商簽發(fā)證書(shū)。監理工程師向項目經(jīng)理和承包商簽發(fā)證書(shū)。
 
13.7 A notification which this contract requires is communicated separately from other communications.
本合同要求的通知書(shū)應與其他函件分開(kāi)傳遞。
 
13.8 The Project Manager may withhold acceptance of a submission by the Contractor. Withholding acceptance for a reason stated in this contract is not a compensation event.
項目經(jīng)理可以不認可承包商提交的函件。以本合同規定的理由不認可承包商提交的函件不屬于補償事件。
 
14 The Project Manager and the Supervisor 項目經(jīng)理和監理
 14.1 The Project Manager’s or the Supervisor’s acceptance of a communication from the Contractor or his work does not change the Contractor’s responsibility to Provide the Works or his liability for his design.
 項目經(jīng)理或監理工程師對承包商提交的函件的認可并不改變承包商對實(shí)施合同工程的責任或對其設計所應承擔的合同責任。
                                                     
14.2 The Project Manager and the Supervisor, after notifying the Contractor, may delegate any of their actions and may cancel any delegation. A reference to an action of the Project Manager or the Supervisor in this contract includes an action by his delegate.
在通知承包商后,項目經(jīng)理和監理工程師可以對其任一行為授權,也可以撤銷(xiāo)此種授權。在本合同中,涉及項目經(jīng)理和監理工程師的行為包括了其授權代表的行為。
 
14.3 The Project Manager may give an instruction to the Contractor which changes the Works Information.
 項目經(jīng)理可以向承包商發(fā)出指令變更工程信息。
 
14.4 The Employer may replace the Project Manager or the Supervisor after he has notified the Contractor of the name of the replacement.
在替換人選通知承包商后,雇主可撤換項目經(jīng)理或監理工程師。
 
15 Adding to the working areas增加施工作業(yè)區
15.1 The Contractor may submit a proposal for adding to the Working Areas to the Project Manager for acceptance. A reason for not accepting is that
承包商應將要求增加施工作業(yè)區的建議提交項目經(jīng)理認可。項目經(jīng)理部認可的理由為
 
the proposed addition is not necessary for Providing the Works or
所擬增加的施工作業(yè)區非實(shí)施合同工程所必需,或
 
the proposed area will be used for work not in this contract.
所擬區域將為本合同以外的工程所使用。
 
16Early warning 早期警告
16.1 The Contractor and the Project Manager give an early warning by notifying the other as soon as either becomes aware of any matter which could increase the total of the Pricesdelay Completion or
一經(jīng)察覺(jué)將導致下列結果的問(wèn)題,承包商和項目經(jīng)理任一方應立即向對方發(fā)出早期警告, 增加合同價(jià)款總額,推遲竣工,或
 
impair the performance of the works in use.削弱合同工程的使用功能。
16.2 Either the Project Manager or the Contractor may instruct the other to attend an early warning meeting. Each may instruct other people to attend if the other agrees.
項目經(jīng)理或承包商都可要求對對方出席早期警告會(huì )議。每一方都可在對方同意后要求其他人員出席這種會(huì )議。
 
16.3 At an early warning meeting those who attend co-operate in making and considering proposals for how the effect of each matter which has been notified as an early warning can be avoided or reduced, seeking solutions that will bring advantage to all those who will be affected and deciding upon actions which they will take and who, in accordance with this contract, will take them.
在早期警告會(huì )議上,與會(huì )各方應在下列方面合作:提出并研究建議措施以避免或減少作為早期警告而通知的每一問(wèn)題的影響,尋求對將受影響的所有各方均有利的解決辦法,以及決定與會(huì )各方應采取的行動(dòng)以及根據本合同應采取行動(dòng)的一方。
 
16.4 The Project Manager records the proposals considered and the decisions taken at an early warning meeting and gives a copy of his record to the Contractor.
項目經(jīng)理應在早期警告會(huì )議上將所研究的建議和作出的決定記錄在案,并指令解決此種歧義和矛盾。
 
17 Ambiguities and inconsistencies  歧義和矛盾
17.1 The Project Manager or the Contractor notifies the other as soon as either becomes aware of an ambiguity or inconsistency in or between the documents which are part of this contract. The Project Manager give an instruction resolving the ambiguity or inconsistency.
一經(jīng)察覺(jué)在本合同組成文件之中或各組成文件之間存在歧義和矛盾,項目經(jīng)理或承包商均應立即通知對方。項目經(jīng)理應發(fā)出指令解決此種歧義和矛盾。
 
18 Health and safety 健康和安全
18.1 The Contractor acts in accordance with the health and safety requirements stated in the Works Information.
承包商的行為應符合工程信息中規定的對健康和安全的要求。
 
19 Illegal and impossible requirements不合法和不可能的要求
 19.1 The Contractor notifies the Project Manager as soon as he becomes aware that the Works Information requires him to do anything which is illegal or impossible. If the Project Manager agrees, he gives an instruction to change the Works Information appropriately.
一經(jīng)察覺(jué)在工程信息中有不合法和不可能的要求時(shí),承包商應立即通知項目經(jīng)理。若項目經(jīng)理同意,他應發(fā)出指令適當變更工程信息。
 
20 Providing the Works 實(shí)施工程
20.1 The Contractor Provides the Works in accordance with the Works Information.
承包商應按工程信息實(shí)施合同工程。
 
21 The Contractor’s design 承包商的設計
21.1 The Contractor designs the parts of the Works Information states he is to design.
承包商應完成工程信息中規定由其承擔的部分工程的設計。
 
21.2 The Contractor submits the particulars of his design as the Works Information requires to the Project Manager for accepting the Contractor’s design is that it does not comply with the Works Information or it does not comply with the applicable law. The Contractor does not proceed with the relevant work until the Project Manager has accepted his design.
承包商應按工程信息的要求,將設計細節提交項目經(jīng)理認可。項目經(jīng)理不認可的理由為該設計不符合工程信息的要求,或該設計不符合適用法律。只有當項目經(jīng)理認可其設計后,承包商方可繼續進(jìn)行相關(guān)工作。
 
21.3 The contractor may submit his design for acceptance in parts if the design of each part can be assessed fully.
若設計的每一部分可完整審核,承包商可將其設計按各部分分批提交項目經(jīng)理認可。
 
21.4 The contractor indemnifies the Employer against claims, compensation and costs due to the Contractor infringing a patent or copyright.
承包商應保障雇主免于承擔因承包商侵害專(zhuān)利或版權引起的索賠、補償和費用。
 
21.5 The Contractor’s liability to the Employer for Defects due to his design that are not listed on the Defects Certificate is limited to the amount stated in the Contract Data in addition to any damages stated in this contract for delay or low performance.
 對于因承包商設計而產(chǎn)生的但未列入缺陷證書(shū)中的缺陷,承包商對雇主所承擔的合同責任只限于合同資料中所規定的金額,以及本合同規定的工期延誤或合同工程使用功能欠佳的損失賠償費。
 
22 Using the Contractor’s design使用承包商的設計
2.1 The Employer may use and copy the Contractor’s design for any purpose connected with construction, use, alteration or demolition of the works unless otherwise stated in the Works Information and for other purposes as stated in the Works Information.
22.1 除非在工程信息中另有規定,雇主為合同工程的施工、使用、改造或拆除的目的以及為工程信息中規定的其他目的,均可使用和復制承包商的設計。
 
23 Design of Equipment施工設備的設計 
23.1 The Contractor submits particulars of the design of an item of Equipment to the Project Manager for acceptance if the Project Manager instructs him to A reason for not accepting is that the design of the item will not allow the Contractor to provide the Works in accordance with the Works Information, the applicable law
承包商應按項目經(jīng)理的指令將施工設備的設計細節提交項目經(jīng)理認可。項目經(jīng)理不認可的理由為,該設備使承包商不能根據下列諸項實(shí)施合同工程工程信息已為項目經(jīng)理認可的承包商的設計,或.適用法律。
 
24 People人員
24.1 The Contactor either employs each key person named to do the job for him stated in the Contract Data or employs a replacement person who has been accepted by the Project Manager. The Contractor submits the name, relevant qualifications and experience of a proposed replacement person to the Project Manager for acceptance. A reason for not accepting the person is that his relevant qualifications and experience are not as good as those of the person who is to be replaced.
承包商可以雇傭在合同資料中所提名的每一位主要人員為其工作,或雇傭經(jīng)項目經(jīng)理認可的替換人選。承包商應將擬雇傭的替換人選的姓名、相關(guān)資格和經(jīng)歷提交項目經(jīng)理認可。項目經(jīng)理不認可所擬人選的理由為,其相關(guān)資格和經(jīng)歷不如擬被替換的人員。
 
24.2 The Project Manager may, having stated his reasons, instruct the Contractor to remove an employee. The Contractor then arranges that, after one day, the employee has no further connection with the included in his contract.
項目經(jīng)理可以在說(shuō)明理由之后,指令承包商調離其雇員。承包商應作出安排使該雇員在一日后,與本合同的工作不再有進(jìn)一步的關(guān)系。
 
25 Co-operation  合作
25.1 The Contractor co-operates with others in obtaining and providing information which they need in connection with the works. He shares the Working Areas with others as stated in the Works Information.
承包商應在獲得和提供與合同工程有關(guān)的信息方面同其他方合作。承包商與工程信息中指明的其他方共用施工作業(yè)區。
 
26 Subcontracting 分包
26.1 If the Contractor subcontracts work, he is responsible for performing this contract as if he had not subcontracted. This contract applies as if a Subcontractor’s employees and equipment were the Contractor’s.
若承包商將工程進(jìn)行分包,其履行合同的責任視同工程未分包時(shí)一樣。本合同實(shí)施時(shí)分包商的雇員和施工設備均視為承包商的雇員和施工設備。
 
26.2 The Contractor submits the name of each proposed Subcontractor to the Project Manager for acceptance. A reason for not accepting the Subcontractor is that his appointment will not allow the Contractor to Provide the Works. The Contractor does not appoint a proposed Subcontractor until the Project Manager has accepted him.
26.2承包商應將建議的每一分包商的名稱(chēng)提交項目經(jīng)理認可。項目經(jīng)理不認可的理由為,該分包商的指令將使承包商不能實(shí)施合同工程。在項目經(jīng)理認可某一建議的分包商之前,承包商不得指定該分包商。
 
26.3 The Contractor submits the proposed conditions of contract for each subcontract to the Project Manager for acceptance unless the NEC Engineering and Construction Subcontract or the NEC professional services Contract is to be used or the Project Manager has agreed that no submission is required.
承包商應將每一分包合同中建議的分包合同條件提交項目經(jīng)理認可,除非所建議的分包合同條件是使用NEC工程施工分包合同或NEC專(zhuān)業(yè)服務(wù)合同,或項目經(jīng)理同意不需要提交。
 
The Contractor does not appoint a Subcontractor on the proposed subcontract conditions submitted until the Project Manager has accepted them. A reason for not accepting them is that they will not allow the Contractor to provide the Works or they do not include a statement that the parties to the subcontract shall act in a spirit of mutual trust and co-operation.
在項目經(jīng)理認可所建議的分包合同條件之前,承包商不得指定分包商。項目經(jīng)理不認可這些分包合同條件的理由為,這些分包條件使承包商不能實(shí)施合同工程,或未包括分包合同各當事方應相互信任、相互合作的條款。
 
27 Approval from others 從其他方獲得對其設計的批準
27.1 The Contractor obtains approval of his design from others where necessary.
若有必要,承包商應從其他方獲得對其設計的批準。
 
28 Access to the work 進(jìn)入工地
28.1 The Contractor provides access to work being done and to Plant and Materials being stored for this contract for the Project Manager, the Supervisor and others notified to him by the Project Manager.
承包商應為下列人員接觸在建工程和為本合同貯存的設備和材料提供方便。這些人員是

29 Instruction 指令
29.1 The Contractor obeys an instruction which is in accordance with this contract and is given to him by the Project Manager or the Supervisor.

30 Starting and Completion開(kāi)工和竣工
30.1 The contractor does not start work on the Site until the first possession date and does the work so that Completion is on or before the Completion Date.
承包商從第一個(gè)現場(chǎng)占有日起開(kāi)始施工作業(yè),并應在竣工日或竣工日前竣工。
 
30.2 The Project Manager decides the date of the date of Completion. The Project Manager certifies Completion within one week of Completion.

31 The programme 進(jìn)度計劃
31.1 If a programme is not identified in the Contract Data, the Contractor submits a first programme to the Project Manager for acceptance within the period stated in the Contract Data.
若合同資料未明確施工進(jìn)度計劃,承包商應在合同資料規定期限內向項目經(jīng)理提交首次施工進(jìn)度計劃以供認可。
 
31.2 The Contractor show on each programme which he submits for acceptance
承包商應在其所提交認可的每一施工進(jìn)度計劃中表明
 
the starting date, possession dates and Completion Date,

for each operation, a method statement which identifies the Equipment and other resources which the Contractor plans to use,

31.3 Within two weeks of the Contractor submitting a programme to him for acceptance, the Project Manager either accepts the programme or notifies the Contractor of his reasons for not accepting it. A reason for not accepting a programme is that the contractor’s plans which it shows are not practicable, it does not show the information which this contract requires, it does not represent the contractor’s plans realistically or it does not comply with the Works Information.

32 Revising the programme  修訂施工進(jìn)度計劃
32.1 The contractor shows on each revised programme the actual progress achieved on each operation and its effect upon the timing of the remaining work, the effects of implemented compensation events and of notified early warning matters, how the contractor plans to deal with any delays and to correct notified Defects and any other changes which the contractor proposes to make to the Acceptance Programme.

32.2 The contractor submits a revised programme to the Project Manager for acceptance within the period for reply after the Project Manager has instructed him to, when the contractor chooses to and, in any case, at no longer interval than the interval stated in the contract data from the starting date until completion of the whole of the work.

33 Possession of the site占有工地現場(chǎng)
33.1 The Employer gives possession of each part of the site to the contractor on or before the later of its possession date and the date for possession shown on the Accepted Programme.
雇主應在現場(chǎng)占有日與已認可的施工進(jìn)度計劃中表明的占有日兩者較遲的日期,或在此日期之前將工地現場(chǎng)的每一部分的占用權交給承包商。
 
33.2 While the contractor has possession of a part of the site, the employer gives the contractor access to and use of it and the employer and the contractor provide facilities and services as stated in the works information. Any cost incurred by the employer as a result of the contractor not providing the facilities and services he is to provide is assessed by the project manager and paid by the contractor.
當承包商擁有某一部分工地現場(chǎng)的占用權時(shí),雇主應允許承包商出入并使用工地現場(chǎng),雇主和承包商應提供工程信息中規定的設施和服務(wù)。因承包商未提供其應提供的設施和服務(wù)而使雇主為此發(fā)生的費用,應由項目經(jīng)理計價(jià),并由承包商償付。
 
34 Instruction to stop or not to start work指令停工或不開(kāi)工
34.1 The project manager may instruct the contractor to stop or not to start any work and may later instruct him that he may re-start or start it.
項目經(jīng)理可以就某一工程向承包商發(fā)出停工或不開(kāi)工的指令,也可以在以后向承包商發(fā)出可以復工或開(kāi)工的指令。
 
35  Take over  工程接收
35.1 Possession of each part of the site returns to the employer when he takes over the part of the works which occupies it. Possession of the whole site returns to the employer when the project manager certifies termination.
當雇主接受了合同工程的每一部分后,該部分工程所在的工地現場(chǎng)的占用權即返回雇主。當項目經(jīng)理簽發(fā)合同終止證書(shū)時(shí),整個(gè)工地現場(chǎng)的占用權即返回雇主。
 
35.2 The employer need not take over the works before the completion date if it is stated in the contract data that he is not willing to do so. Otherwise the employer takes over the works not more than two weeks after completion.
若合同資料中說(shuō)明雇主不希望在竣工日之前接受合同工程,則雇主不必要在竣工日前接受合同工程。否則雇主應在竣工后兩周的期限內接受合同工程。
 
35.3 The employer may use any part of the works before completion has been certified. If he does so, he takes over the part of the works when he begins to use it except if the use isfor a reason stated in the works information or to suit the contractor’s method of working.

35.4 The project manager certifies the date upon which the employer takes over any part of the works and its extent within one week of the date.

36 Acceleration  趕工
36.1 The project manager may instruct the contractor to submit a quotation for an acceleration to achieve completion before the completion date. A quotation for an acceleration comprises proposed changes to the price and the completion date and a revised programme.

36.2 The contractor submits a quotation or gives his reasons for not doing so within the period for reply.

40 Tests and inspections 測試和檢查
40.1 This clause only governs tests and inspections required by the works information and the applicable law.

40.2 The contractor and the employer provide materials, facilities and samples for tests and inspections as stated in the works information.

40.3 The contractor and the supervisor each notifies the other of each of his tests and inspections before it starts and afterwards notifies the other of its results. The contractor notifies the supervisor in time for a test or inspection to be arranged and done before doing work which would obstruct the test or inspection. The supervisor may watch any test done by the contractor.

40.4 If a test or inspection shows that any work has a defect, the contractor corrects the defect and the test or inspection is repeated.

40.5 The supervisor does his test and inspections without causing unnecessary delay to the work or to a payment which is conditional upon a supervisor’s test or inspection being successful becomes due at the later of the defects date and the end of the last defect correction period if the supervisor has not done the test or inspection and the delay to the test or inspection is not the contractor’s fault.

40.6 The project manager assesses the cost incurred by the employer in repeating a test or inspection after a defect is found. The contractor pays the amount assessed.

41 Testing and inspection before delivery交貨前的測試和檢查
41.1 The contractor does not bring to the working areas those plant and materials which the works information states are to be tested or inspected before delivery until the supervisor has notified the contractor that they have passed the test or inspection.
對在發(fā)運前要進(jìn)行測試或檢查的設備和材料,只有通過(guò)工程信息所規定的測試或檢查之后,并且由監理工程師通知承包商,承包商方可將這些設備和材料運入施工作業(yè)區。
 
42  Searching and notifying defects 尋查和指出缺陷
42.1 The supervisor may instruct the contractor to search. He gives his reason for the search with his instruction. Searching may include proving facilities, materials and samples for tests and inspections done by the supervisor and

43  Correcting defects 改正缺陷
43.1 The contractor corrects defects whether or not the supervisor notifies him of them. The contractor corrects notified defects before the end of the defect correction period. This period begins at completion for defects notified before completion and when the defect is notified for other defects.
無(wú)論監理工程師是否就缺陷發(fā)過(guò)通知,承包商均應將其改正。承包商應在缺陷改正期結束之前改正所指出的缺陷。對于竣工前通知的缺陷,缺陷改正期自竣工之日起算。對于其他缺陷,缺陷改正期自缺陷通知之日起算。
 
43.2 The supervisor issues the defects certificate at the later of the defects date and the end of the last defect correction period.

43.3 The project manager arranges for the employer to give access to and use of any part of the works which he has taken over to the contractor if it is needed for correcting a defect. If the project manager has not arranged suitable access and use within the defect correction period, he extends the period for correcting the defect as necessary.
若為改正缺陷所需,項目經(jīng)理應作出安排讓雇主將已接受的部分合同工程的出入權交還承包商。若項目經(jīng)理未能在缺陷改正期內安排這一出入權和使用權,則有必要延長(cháng)缺陷改正的期限。
 
44 Accepting defects 認可的缺陷
44.1 The contractor and the project manager may each propose to the other that the works information should be changed so that a defect does not have to be corrected.
承包商和項目經(jīng)理可各自向對方建議變更工程信息,以使某一缺陷不必改正。
 
44.2 If the contractor and the project manager are prepared to consider the change, the contractor submits a quotation for reduced prices or an earlier completion date or both to the project manager for acceptance. If the project manager accepts the quotation, he gives an instruction to change the works information, the prices and the completion date accordingly.
若承包商和項目經(jīng)理準備考慮此種變更,承包商應將合同價(jià)款扣減或竣工日提前的建議或兩者兼有的建議提交項目經(jīng)理認可。若項目經(jīng)理認可這一建議,他應相應地發(fā)出指令,變更工程信息、合同價(jià)款和竣工日。
 
45 Uncorrected defects 未改正的缺陷
45.1 If the contractor has not corrected a notified defect within its defect correction period, the project manager assesses the cost of having the defect corrected by other people and the contractor pays this amount.
若承包商未能在缺陷改正期內改正已通知的缺陷,項目經(jīng)理應將由他人改正此缺陷的費用予以計價(jià),并由承包商支付此款項。
 
50 Assessing the due 計價(jià)應付款
50.1 The project manager assesses the amount due at each assessment date. The first assessment date is decided by the project manager to suit the procedures of the parties and it not later than the assessment interval after the starting date. Later assessment dates occur at the end of each assessment interval until completion of the whole of the works, at completion of the whole of the works, four weeks after the supervisor issues the defects certificate and after completion of the whole of the works, when an amount due is corrected and when a payment is made late.

50.2 The amount due is the price for work done to date plus other amounts to be paid to the contractor less amounts to be paid by or retained from the contractor. Any value added tax or sales tax or sales tax which the law requires the employer to pay to the contractor is included in the amount due.
應付款額為迄今已完工程總價(jià)加上應付承包商的其他款項,減去承包商應付雇主款額或應從承包商處扣留的款額。雇主應付給承包商的法定增值稅或銷(xiāo)售稅應包括在應付款額中。
 
50.3 If no programme is identified in the contract data, one quarter of the price for work done to date is retained in assessments of the amount due until the contractor has submitted a first programme to the project manager for acceptance showing the information which this contract requires.

50.4 In assessing the amount due, the project manager considers any application for payment the contractor has submitted on or before the assessment date. The project manager gives the contractor details of how the amount due has been assessed.

50.5 The project manager corrects any wrongly assessed amount due in a later payment certificate.

51 Payment 付款
51.1 The project manager certifies a payment within one week of each assessment date. The first payment is the amount due. Other payments are the change in the amount due since the last payment certificate. A payment is made by the contractor to the employer if the change reduce the amount due. Other payments are made by the employer to the contractor. Payments are in the currency of this contract unless otherwise stated in this contract.

51.2 Each certified payment is made within three weeks of the assessment date or, if a different period is stated in the contract data, within the period stated. If a payment is late, interest is paid on the late payment. Interest is assessed from the date by which the late payment should have been made until the date payment is made, and is included in the first assessment after the late payment is made.
每一經(jīng)簽證的款額應在結算日后三周內支付;若合同資料另有支付期限的規定,則在此期限內支付。若拖欠付款,應對所拖欠款額加付利息。計息時(shí)間自應付款額發(fā)生拖欠之日起至所拖欠款額付迄之日止,該利息應計入拖欠款額付迄后的第一次工程款計價(jià)時(shí)的應付款額中。
 
51.3 If an amount due is corrected in a later certificate either by the project manager, whether in relation to a mistake or a compensation event or following a decision of the adjudicator or the tribunal, interest on the correcting amount is paid. Interest is assessed from the date when the incorrect amount was certified until the date when the correcting amount is certified and is included in included in the assessment which includes the correcting amount.
若應付款額在下次付款證書(shū)中被更正是由項目經(jīng)理所作的更正,且不論此種更正宇計價(jià)審核錯誤或補償事件是否有關(guān),或遵循裁決人決定或法庭的決定所作的更正,則均應按更正金額加付利息。計息時(shí)間不正確金額簽證之日起至更正金額簽證之日止,并將利息在計價(jià)審核時(shí)計入包括更正金額在內的應付款額中。
 
51.4 If the project manager does not issue a certificate which he should issue, interest is paid on the amount which he should have certified. Interest is assessed from the date by which he should have certified the amount until the date when he certifies the amount and is included in the amount then certified.
若項目經(jīng)理未簽發(fā)其應簽發(fā)的付款證書(shū),應按其應簽證的款額計付利息。計息時(shí)間自其簽證款額之日起至其簽證該款額之日止,并應將利息計入隨后簽證的款項金額中。
 
51.5 Interest is calculated at the interest rate and is compounded annually.
利息應按合同利率計算并按年計復利。
 
  52 Actual cost  實(shí)際成本
52.1 All the contractor’s costs which are not included in the actual cost are deemed to be included in the fee percentage. Amount included in actual cost are at open market or competitively tendered prices with all discounts, rebates and taxes which can be recovered deducted.
所有未包括在實(shí)際成本中的承包商的費用被認為已包括在間接費費率中。實(shí)際成本中的金額指在公開(kāi)市場(chǎng)上的價(jià)格或具有競爭力的報價(jià),并應扣除一切折扣、減免額和退稅額。
 
 60 Compensation events補償事件
60.1 The following are compensation events. 下列情況屬于補償事件:
 (1) The project manager gives an instruction changing the works information except

a change made in order to accept a defect or為認可缺陷而進(jìn)行的變更,或
a change to the works information provided by the contractor for his design which is made at his request or to comply with other works information provided by the employer.

(2) The employer does not give possession of a part of the site by the later of its possession date and the date required by the accepted programme.
在已認可的施工進(jìn)度計劃所要求的占有日與某一部分工地現場(chǎng)的現場(chǎng)占有日兩者較遲日期之前,雇主未將該部分工地現場(chǎng)的占用權交給承包商。
 
(3) The employer does not provide something which he is to provide by the date for providing it required by the accepted programme.

(4) The project manager gives an instruction to stop or not to start ay work.
項目經(jīng)理發(fā)出某一工程的停工指令或不開(kāi)工指令。
 
(5) The employer or others do not work within the times shown on the accepted programme or do not work within the conditions stated in the works information.
在已認可的施工進(jìn)度計劃所表明的時(shí)間內,或在工程信息規定的條件下,雇主或其他方不工作。
 
(6) The project manager or the supervisor does not reply to a communication from the contractor within the period required by this contract.
項目經(jīng)理或監理工程師未在本合同要求的期限內答復承包商的函件。
 
(7) The project manager gives an instruction for dealing with an object of value or of historical or other interest found within the site.
項目經(jīng)理就處理在工地現場(chǎng)內發(fā)現的有價(jià)值的物品、歷史文物或其他重要物品而發(fā)出的指令。
 
(8) The project manager or the supervisor changes a decision which he has previously communicated to the contractor.

(9) The project manager withholds an acceptance (other than acceptance of a quotation for acceleration or for not correcting a defect) for a reason not stated in this contract.
項目經(jīng)理以本合同未說(shuō)明的理由拒絕對某一事項的認可(不包括對因趕工的報價(jià)或同意扣款而不必再改正缺陷的報價(jià)的認可)。
 
(10) The supervisor instructs the contractor to search and no defect is found unless the search is needed only because the contractor gave insufficient notice of ding work obstructing a required test or inspection.
監理工程師指令承包商尋查缺陷,但并未發(fā)現缺陷。但僅因承包商未就實(shí)施會(huì )妨礙所要求的測試或檢查的工作而發(fā)出詳盡通知,從而需要進(jìn)行此種尋查的情形除外。
 
(11) A test or inspection done by the supervisor causes unnecessary delay.
監理工程師進(jìn)行的測試或檢查所引起不必要的工程延誤。
 
(12) The contractor encounters physical conditions which are within the site, are not weather conditions and which an experienced contractor would have judged at the contract date to have such a small change of occurring that it would have been unreasonable for him to have allowed for them.
承包商遇到在工地現場(chǎng)內的,非氣象條件引起的,以及有經(jīng)驗的承包商可能在合同生效日判斷為出現機率極小,因而有理由不予考慮的實(shí)際條件。
 
(13) A weather measurement is recorded within a calendar month, before the completion date for the whole of the works an at the place stated in the contract data the value of which, by compensation with the weather data, is shown to occur on average less frequently than once in ten years.

(16) The employer does not provide materials, facilities and samples for tests as stated in the works information.

(17) The project manager notifies a correction to an assumption about the nature of a compensation event.

(18) A breach of contract by the employer which is not one of the other compensation events in this contract.

60.2 In judging the physical conditions, the contractor is assumed to have taken into account the site information, Publicly available information referred to in the site information, information obtainable from a visual inspection of the site and other information which an experienced contractor could reasonably be expected to have or to obtain

60.3 If there is an inconsistency within the site information (including the information referred to in it), the contractor is assumed to have taken into account the physical conditions more favourable to doing the work.

61 Notifying compensation events 通知補償事件
61.1 For compensation events which arise from the project manager or the supervisor giving an instruction or changing an earlier decision, the project manager notifies the contractor of the compensation event at the time of the event. He also instructs the contractor to submit quotations, unless the event arises from a fault of the contractor or quotations have already been submitted. The contractor puts the instruction or changed decision into effect.
對因項目經(jīng)理和監理工程師發(fā)出指令或變更以前作出的決定所引起的補償事件,項目經(jīng)理應在事件發(fā)生當時(shí)將該補償事件通知承包商。除非該補償事件系因承包商的失誤所引起或承包商已提交報價(jià),否則,項目經(jīng)理還應指令承包商提交報價(jià)。承包商應將該指令或變更后的決定付諸實(shí)施。
 
61.2 The project manager may instruct the contractor to submit quotations for a proposed instruction or a proposed changed decision. The contractor does not put a proposed instruction or a proposed changed decision into effect.
項目經(jīng)理可指令承包商為擬發(fā)出的指令或變更的決定提交報價(jià)。此時(shí)承包商不必將該擬發(fā)出的指令或變更的決定付諸實(shí)施。
 
61.3 The contractor notifies an event which has happened or which he expects to happen to the project manager as a compensation event if the contractor believes that the event is a compensation event, it is less than two weeks since he became aware of the event and the project manager has not notified the event to the contractor.
承包商應將已發(fā)生或預期要發(fā)生的事件按補償事件通知項目經(jīng)理,如果承包商確信其為補償事件,自承包商察覺(jué)后的兩周內,并且項目經(jīng)理尚未將該事件通知承包商。
 
61.4 The prices and the completion date are not changed if the project manager decides that an event notified by the contractor arises from a fault of the contractor, has not happened and is not expected to happen, has no effect upon actual cost or completion or is not one of the compensation events stated in this contract.
若項目經(jīng)理作出決定,認為承包商所通知的補償事件系因承包商的失誤所引起,并未發(fā)生且預期也不會(huì )發(fā)生,對實(shí)際成本或竣工并無(wú)影響,或并非本合同所明確的補償事件之一,
 
If the project manager decides otherwise, he instructs the contractor to submit quotations for the event. Within either one week of the contractor’s notification or a longer period to which the contractor has agreed the project manager notifies his decision to the contractor or instructs him to submit quotations.
若項目經(jīng)理作出與上述結論不同的決定,應指令承包商提交對補償事件的報價(jià)。這樣項目經(jīng)理應在承包商通知補償事件后一周內,或承包商已同意的較長(cháng)時(shí)間內將其決定通知承包商或指令承包商提交報價(jià)。
 
61.5 If the project manager decides that the contractor did not give an early warning of the event which an experienced contractor could have given, he notifies this decision to the contractor when he instructs him to submit quotations.
若項目經(jīng)理作出決定,認為承包商未就所通知的補償事件發(fā)出過(guò)一個(gè)有經(jīng)驗的承包商應發(fā)出的早期警告,項目經(jīng)理在指令承包商提交報價(jià)時(shí)應將此決定通知承包商。
 
61.6 If the project manager decides that the effects of a compensation event are too uncertain to be forecast reasonably, he states assumptions about the event in his instruction to the contractor to submit quotations. Assessment of the event is based on these assumptions. If any of them is later found to have been wrong, the project manager notifies a correction.
若項目經(jīng)理作出決定,認為某一補償事件的影響過(guò)于不明確以致無(wú)法合理預測,此時(shí)應在向承包商發(fā)出提交報價(jià)的指令中說(shuō)明其關(guān)于補償事件的假定條件。對補償事件的計價(jià)就以此假定條件為基礎。事后若發(fā)現此假定條件有誤,項目經(jīng)理應通知更正。
 
61.7 A compensation event is not notified after the defect date.
在缺陷責任解除日以后,不再通知補償事件。
 
62 Quotations for compensation events 對補償事件的報價(jià)
62.1 The project manager may instruct the contractor to submit alternative quotations based upon different ways of dealing with the compensation event which are practicable. The contractor submits the required quotations to the project manager and may submit quotations for other methods of dealing with the compensation event which he considers practicable.
項目經(jīng)理可根據處理補償事件的各種可行方法,指令承包商提交可供選擇的其他報價(jià)。承包商應將所要求的報價(jià)提交項目經(jīng)理,并可根據其認為其他可行的處理補償事件的方法提交報價(jià)。
 
62.2 Quotations for compensation events comprise proposed changes to the prices and any delay to the completion date assessed by the contractor. The contractor submits details of his assessment with each quotation. If the programme for remaining work is affected by the compensation event, the contractor includes a revised programme in his quotation showing the effect.

62.3 The contractor submits quotations within three weeks of being instructed to do so by the project manager. The project manager replies within two weeks of the submission. His reply is an instruction to submit a revised quotation, an acceptance of a quotation, a notification that a proposed instruction or a proposed changed decision will not be given or a notification that he will be making his own assessment.

62.4 The project manager instructs the contractor to submit a revised quotation only after explaining his reasons for doing so to the contractor. The contractor submits the revised quotation within three weeks of being instructed to do so.

62.5 The project manager extends the time allowed for the contractor to submit quotations for a compensation event and the project manager to reply to a quotation if the project manager and the contractor agree to the extension before the submission or reply is due. The project manager notifies the extension that has been agreed to the contractor.

63 Assessing compensation events 對補償事件的計價(jià)
63.1 The changes to the prices are assessed as the compensation event of the compensation event upon the actual cost of the work already done, the forecast actual cost of the work not yet done and the resulting fee
根據補償事件對已實(shí)施工程的實(shí)際成本,尚未實(shí)施工程的預計實(shí)際成本,以及.由此產(chǎn)生的間接費的影響,來(lái)計算合同價(jià)款的改變。
 
63.2 If the effect of a compensation event is to reduce the total actual cost, the prices are not reduced except as stated in this contract. If the effect of a compensation event is to reduce the total actual cost and the event is a change to the works information or a correction of an assumption stated by the project manager for assessing the prices are reduced.
若補償事件的影響使實(shí)際成本總額減少,除本合同另有說(shuō)明外,合同價(jià)款不予減少。若補償事件的影響使實(shí)際成本總額減少,同時(shí)該補償事件為變更工程信息,或更正項目經(jīng)理為先前補償事件的計價(jià)所作的假定條件,則合同價(jià)款應予減少。
 
63.3 A delay to the completion date is assessed as the length of time that, due to the compensation event, planned completion is later than planned completion as shown on the accepted programme.
竣工日的延誤指,由于補償事件使預期竣工日期遲于已認可的施工進(jìn)度計劃所示的計劃竣工日期,并以一個(gè)時(shí)間段表示。
 
63.4 If the project manager has notified the contractor of his decision that the contractor did not give an early warning of a compensation event which an experienced contractor could have given, the event is assessed as if the contractor had given early warning.

63.5 Assessing of the effect of a compensation event includes cost and time risk allowances for matters which have a significant chance of occurring and are at the contractor’s risk under this contractor.

63.6 Assessments are based upon the assumptions that the contractor reacts competently and promptly to the compensation event, that the additional actual cost and time due to the event are reasonably incurred and that the accepted progrmme can be changed.
計價(jià)所依據的假定條件為,承包商對補償事件能作出應有的即時(shí)反應、補償事件引起的額外實(shí)際成本和耗用時(shí)間較為合理、并且已認可的施工進(jìn)度計劃可以更改。
 
63.7 A compensation event which is an instruction to change the works information in order to resolve an ambiguity or inconsistency is assessed as follows. If works information provided by the employer is changed, the effect of the compensation event is assessed as if the prices and the completion date were for the interpretation most favourable to the contractor. If works information provided by the contractor is changed, the effect of the compensation event is assessed as if the prices and the completion date were for the interpretation most favourable to the employer.
為消除歧義和矛盾而變更工程信息所發(fā)出的指令屬于補償事件,按下述原則計價(jià)。若變更由雇主提供的工程信息,則該補償事件的影響按合同價(jià)款和竣工日對承包商最有利的解釋進(jìn)行計價(jià)。若變更由承包商提供的工程信息,則該補償事件影響按合同價(jià)款和竣工日對雇主最有利的解釋進(jìn)行計價(jià)。
 
64 The project manager’s assessments 項目經(jīng)理自行計價(jià)
64.1 The project manager assesses a compensation event if the contractor has not submitted a required quotation and details of his assessment within the time allowed, if the project manager decides that the contractor has not assessed the compensation event correctly in a quotation and he does not instruct the contractor to submit a revised quotation, if, when the contractor submits quotations for a compensation event, he has not submitted a programme which this contract requires him to submit or if when the contractor submits quotations for a compensation event the project manager has not accepted the contractor’s latest programme for one of the reasons stated in this contract.
項目經(jīng)理自行對補償事件進(jìn)行計價(jià),只有當承包商在允許時(shí)間內尚未提交所要求的報價(jià)及其詳細計價(jià),項目經(jīng)理作出決定,認為承包商在報價(jià)中未對補償事件作出正確計價(jià),并且不再指令承包商提交修正的報價(jià),承包商提交補償事件的報價(jià)時(shí),未提交本合同要求提交的施工進(jìn)度計劃,或承包商提交補償事件的報價(jià)時(shí),項目經(jīng)理以本合同說(shuō)明的某一理由未認可承包商最新施工進(jìn)度計劃。
 
64.2 The project manager assesses a compensation event using his own assessment of the programme for the remaining work if there is no accepted programme or the contractor has not submitted a revised programe for acceptance as required by this contract.
項目經(jīng)理以自己對剩余工程的施工進(jìn)度計劃的估價(jià)來(lái)計價(jià)補償事件,若無(wú)已認可的施工進(jìn)度計劃,或承包商未按本合同要求將經(jīng)修正的施工進(jìn)度計劃提交認可。
 
64.3 The project manager notifies the contractor of his assessment of a compensation and gives him details of it within the period allowed for the contractor’s submission of his quotation for the same event. This period starts when the need for the project manager’s assessment becomes apparent.
項目經(jīng)理應在允許承包商為同一補償事件提交報價(jià)所需的期限內,將其對補償事件的計價(jià)連同其詳細計價(jià)資料通知承包商。此期限從項目經(jīng)理自行計價(jià)的必要性已顯而易見(jiàn)時(shí)開(kāi)始。
 
65 Implementing compensation events 處理補償事件
65.1 The project manager implements each compensation event by notifying the contractor of the quotation which he has accepted or of his own assessment. He implements the compensation event when he accepts a quotation or completes his own assessment or when the compensation event occurs, whichever is latest.

65.2 The assessment of a compensation event is not revised if forecast upon which it is based is shown by later recorded information to have been wrong.

70 The employer’s title to equipment, plant and materials
雇主對施工設備、設備和材料擁有所有權
70.1 Whatever title the contractor has to equipment, plant and materials which is outside the working areas passes to the employer if the supervisor has marked it as for this contract.
無(wú)論承包商對在施工作業(yè)區以外的施工設備、設備和材料擁有何種所有權,一經(jīng)監理工程師將上述各項標記為本合同所用,其所有權即轉歸雇主。
 
70.2 Whatever title the contractor has to equipment, plant and materials passes to the employer if it has been brought within the working areas. The title to equipment, plant and materials passes back to the contractor if it is removed from the working areas with the project manager’s permission.
無(wú)論承包商對在施工作業(yè)區以外的施工設備、設備和材料擁有何種所有權,上述各項一經(jīng)運入施工作業(yè)區,其所有權即轉歸雇主。若施工設備、設備和材料經(jīng)項目經(jīng)理允許,撤離施工作業(yè)區后,其所有權又轉歸承包商。
 
71 Marking equipment, plant and materials outside the working areas 71

71.1 The supervisor marks equipment, plant and materials which are outside the working areas if this contract identifies them for payment and the contractor has prepared them for marking as the works information requires.
監理工程師應對在施工作業(yè)區以外的施工設備、設備和材料作出標記,若本合同確認為之付款,并且承包商已按工程信息要求準備對上述各項作出標記。
 
72 Removing equipment 施工設備撤場(chǎng)
72.1 The contractor removes equipment from the site when it is no longer needed unless the project manager allows it to be left in the works.
承包商應將不再需要的施工設備撤離工地現場(chǎng),但項目經(jīng)理同意留下的設備除外。
 
73 Objects and materials within the site 工地現場(chǎng)內的物品和材料
73.1 The contractor has no title to an object of value or of historical or other interest within the site. The contractor notifies the project manager when such an object is found and the project manager instructs the contractor how to deal with it. The contractor does not move the object without instructions.
承包商對工地現場(chǎng)內的有價(jià)值的物品、歷史文物或其他重要物品沒(méi)有所有權。承包商發(fā)現此類(lèi)物品時(shí),應通知項目經(jīng)理。項目經(jīng)理應指令承包商如何處理。沒(méi)有指令,承包商不得移動(dòng)此類(lèi)物品。
 
73.2 The contractor has title to materials from excavation and demolition only as stated in the works information.

80  Risks and insurance 風(fēng)險和保險
80.1 The employer’s risks are雇主風(fēng)險為
 
Claims, proceedings, compensation and costs payable which are due to use or occupation of the site by the works or for the purpose of the works which is the unavoidable result of the works, negligence, breach of statutory duty or interference with any legal right by the employer or by any person employed by or contracted to him except the contractor or a fault of the employer or a fault in his design. Loss of or damage to plant and materials supplied to the contractor by the employer, or by others on the employer’s behalf, until the contractor has received and accepted them.

Loss of damage to the works, plant and materials due to war, civil war, rebellion, revolution, insurrection, military or usurped power, strikes, riots and civil commotion not confined to the contractor’s employees, radioactive contamination. Loss of or damage to the parts of the works taken over by the employer, except loss or damage occurring before the issue of the defects certificate which is due to a defect which existed at take over, an event occurring before take over which was not itself an employer’s risk or the activities of the contractor on the site after take over.

81.1 From the starting date until the defects certificate has been issued the risks which are not carried by the employer are carried by the contractor.

82 Repairs 修補
82.1 Until the defects certificate has been issued and unless otherwise instructed by the project manager the contractor promptly replaces loss of and repairs damage to the works, plant and materials.
除非項目經(jīng)理另有指令,承包商應在缺陷證書(shū)簽發(fā)前迅速將損失和損壞的合同工程、設備和材料補齊和修復。
 
83 Indemnity 補償
83.1 Each party indemnifies the other against claims, proceedings, compensation and costs due to an event which is at his risk.
任一當事方應保障對方免于承擔因屬于自身風(fēng)險的事件而引起的索賠、訴訟、補償和費用。
 
83.2 The liability of each party to indemnify the other is reduced if event at the other party’s risk contributed to the claims, proceedings, compensation and costs. The reduction is in proportion to the extent that events which were at the other party’s risk contributed, taking into account each party’s responsibilities under this contract.
若發(fā)生的索賠、訴訟、補償和費用由于屬對方風(fēng)險的事件造成的,則合同當事方保障對方的責任就減少。其減少程度與屬于對方風(fēng)險的事件造成的風(fēng)險程度成比例,并考慮本合同下當事雙方的責任。
 
84 Insurance cover 保險
84.1 The contractor provides the insurance stated in the insurance table except any insurance which the employer is to provide as stated in the contract data. The contractor provides additional insurances as stated in the contract data.
承包商應提供保險表中規定的各項保險,但不包括在合同資料中規定的應由雇主提供的保險。承包商應提供合同資料中規定的附加保險。
 
84.2 The insurance are in the joint names of the parties and provide cover for events which are at the contractor’s risk from the starting date until the defects certificate has been issued.
保險應以當事雙方的名義聯(lián)合投保,保險范圍為自開(kāi)工日起至缺陷證書(shū)簽發(fā)為止屬于承包商風(fēng)險的事件。

85  Insurance policies保險單
85.1 The contractor submits policies and certificates for the insurance which he is to provide to the project manager for acceptance before the starting date and afterwards as the project manager instructs. A reason for not accepting the policies and certificates is that they do not comply with this contract.
承包商在開(kāi)工日后項目經(jīng)理發(fā)出指令時(shí),將關(guān)于其投保的保險單和保險費支付憑證提交項目經(jīng)理認可。該保險單和保險費支付憑證不予以認可的理由為其不符合本合同。
 
85.2 Insurance policies include a waiver by the insurers of their subrogation rights against directors and other employees of every insured except where there is fraud.
保險單應包括承包人放棄其對每一被保險的董事和其他雇員的代位求償權,有欺詐行為時(shí)除外。
 
85.3 The parties comply with the terms and conditions of the insurance policies.
當事雙方均應遵守保險單的條款和條件。
 
85.4 Any amount not recovered from an insurer is borne by the employer for events which are at his risk and by the contactor for events which are his risk.
承包人賠付金額所不能彌補的款額,對屬于雇主風(fēng)險事件的由雇主承擔;對屬于承包商風(fēng)險事件的由承包商承擔。
 
86 If the contractor does not insure 若承包商未擔保
86.1 The employer may insure a risk which this contract requires the contractor to insure if the contractor does not submit a required policy or certificate. The cost of this insurance to the employer is paid by the contractor.
若承包商未能提交所要求的保險單和保險費支付憑證,雇主可為本合同要求承包商投保的風(fēng)險投保。雇主投保所產(chǎn)生的費用應由承包商償付。
 
87 Insurance by the employer 應由雇主辦理的保險
87.1 The project manager submits policies and certificates for insurances provided by the employer to the contractor for acceptance before the starting date and afterwards as the contractor instructs. The contractor accepts the policies and certificates if they comply with this contract.
項目經(jīng)理應在開(kāi)工日后承包商發(fā)出通知時(shí),將應由雇主投保的保險單和保險費支付憑證提交承包商認可。若該保險單和保險費支付憑證符合本合同,承包商則應認可該保險單和保險費支付憑證。
 
87.2 The contractor’s acceptance of an insurance policy or certificate provided by the employer does not change the responsibility of the employer to provide the insurances stated in the contract data.
承包商認可雇主提供的保險單和保險費支付憑證并不改變雇主根據合同資料中所規定的提供保險的責任。
 
87.3 The contractor may insure a risk which this contract requires the employer to insure if the employer does not submit a required policy or certificate. The cost of this insurance to the contractor is paid by the employer.

90 Settlement of disputes 爭端的解決
90.1 Any dispute arising under or in connection with this contract is submitted to and settled by the Adjudicator as follows.

90.2 The adjudicator settles the dispute by notifying the parties and the project manager of his decision together with his reasons within the time allowed by this contract. Unless and until there is such a settlement, the parties and the project manager proceed as if the action, inaction or other matter disputed were not disputed. The decision is final and binding unless and unless and until revised by the tribunal.
裁決人應在本合同允許時(shí)限內,將其決定連同理由通知當事雙方和項目經(jīng)理以解決爭端。當事雙方和項目經(jīng)理應繼續正常工作,直至爭端解決,如同引起爭端的行為、不作為或其他事項并未發(fā)生。除非或直至經(jīng)法庭改正,裁決人的決定為最終的和有約束力的。
 
91 The adjudication 裁決
91.1 The party submitting the dispute to the adjudicator includes with his submission information to be considered by the adjudicator. Any further information from a party to be considered by the adjudicator is provided within four weeks from the submission. The adjudicator notifies his decision within four weeks of the end of the period for providing information. The four week periods in this clause may be extended if requested by the adjudicator in view of the nature of the dispute and agreed by the parties.
將爭端提交裁決人的當事方,應在提交爭端時(shí)一并提交供裁決人考慮的爭端資料。某一當事方應在此后四周內提供供裁決人考慮的進(jìn)一步的資料。裁決人應在資料提供期限截至后四周內通知其決定。裁決人可視爭端性質(zhì)并經(jīng)當事雙方同意,要求延長(cháng)本條中規定的兩個(gè)四周期限。
 
91.2 If a matter disputed under or in connection with a subcontract is also a matter disputed under or in connection with this contract, the contractor may submit the subcontract dispute to the adjudicator at the same time as the main contract submission. The adjudicator then settles the two disputes together and references to the parties for the purposes of the dispute are the interpreted as including the subcontractor.
若在分包合同下或與分包合同有關(guān)而引起爭端的事項,也視同在本合同下或與本合同有關(guān)而引起爭端的事項,承包商可在將主合同爭端提交裁決人時(shí)一起提交該分包合同爭端。裁決人隨后應將此兩種爭端一起解決,因爭端涉及的當事雙方應解釋為包括分包商在內。
 
92 The adjudicator 裁決人
92.1 The adjudicator settles the dispute as independent adjudicator and not as arbitrator. His decision is enforceable as a matter of contractual obligation between the parties and not as an arbitral award. The adjudicator’s powers include the power to review and revise any action or inaction of the project manager or supervisor related to the dispute. Any communication between a party and the adjudicator is communicated also to the other party. If the adjudicator’s decision includes assessment of additional cost or delay caused to the contractor, he makes his assessment in the same way as a compensation event is assessed.
裁決人作為獨立裁決人而非仲裁人來(lái)解決爭端。由于當事雙方之間的合同義務(wù)決定其具有強制性質(zhì),而不是一種仲裁裁決。裁決人的權利包括對與爭端有關(guān)的項目經(jīng)理或監理工程師的任何行為或不作為的審查和修正。某一當事方與裁決人之間的任何函件也應遞送至另一當事方。若裁決人的決定包含對承包商額外費用計價(jià)或工期延誤的計算,其方法應與補償事件計價(jià)方法相同。
 
92.2 If the adjudicator resigns or is unable to act, the parties choose a new adjudicator jointly. If the parties have not chosen a new adjudicator jointly within four weeks of the adjudicator resigning or becoming unable to act, a party may ask the person stated in the contract data to choose a new adjudicator and the parties accept his choice. The new adjudicator is appointed as adjudicator under the NEC adjudicator’s contract. He has power to settle disputes that were currently submitted to his predecessor but had not been settled at the time when his predecessor resigned or become unable to act. The date of his appointment is the date of submission of these disputes to him as adjudicator.
若裁決人辭職或不能工作,當事雙方應共同選擇新裁決人。若在裁決人辭職或不能工作后的四周內,當事雙方未能共同選定新裁決人,任一當事方可請合同資料中規定的人員選擇新裁決人,當事雙方均應認可該選擇。該新裁決人即被指定為新工程合同系列中裁決人合同下的裁決人,有權解決已提交其前任但在其前任辭職或不能工作時(shí)尚未解決的爭端。其指定任職之日即為此類(lèi)爭端提交該裁決人之日期。
 
93 Review by the tribunal 法庭審查
93.1 If after the adjudicate or notifies his decision or fails to do so within the time provided by this contract a party is dissatisfied, that party notifies the other party of his intention to refer the matter which he disputes to the tribunal. It is not referable to the tribunal unless the dissatisfied party notifies his intention within four weeks of notification of the adjudicator’s decision or the time provided by this contract for this notification if the adjudicator fails to notify his decision within that time. whichever is the earlier. The tribunal proceedings are not started before completion of the whole of the works or earlier termination.
若裁決人在本合同規定期限內通知其決定,或未能通知其決定使某一當事方不滿(mǎn)意,該當事方應將向法庭提交所爭端問(wèn)題的意圖通知另一當事方。除非認為不滿(mǎn)意的當事方在裁決人決定通知時(shí),或兩者較早之時(shí)起四周內,向法庭提交爭端問(wèn)題的意圖通知對方,否則法庭不予受理。在整個(gè)合同工程竣工之前或合同提前終止之前,法庭程序不應開(kāi)始。
 
93.2 The tribunal settles the dispute referred to it. Its powers include the power to review and revise any decision of the adjudicator and any action or inaction of the project manager or the supervisor related to the dispute. A party is not limited in the tribunal proceedings to the information, evidence or arguments put to the adjudicator.
法庭解決所提交的爭端,其權力包括對裁決人的決定以及項目經(jīng)理或監理工程師任何與爭端有關(guān)的行為或不作為的審查和修正。在法庭程序中當事雙方不受已提供給裁決人的資料、證據和爭端的限制。
 
94 Termination 合同終止
94.1 If either party wishes to terminate, he notifies the project manager giving details of his reason for terminating. The project manager issues a termination certificate promptly if the reason complies with this contract.
若某一當事方希望終止合同,應通知項目經(jīng)理并提出其終止合同的詳細理由。若該理由符合本合同,項目經(jīng)理應立即簽發(fā)合同終止書(shū)。
 
94.2 The contractor may terminate only for a reason identified in the termination table. The employer may terminate for any reason. The procedures followed and the amounts due on termination are in accordance with the termination table.
承包商只能根據合同終止表內所列理由終止合同。雇主可因任何理由終止合同。隨后程序和合同終止時(shí)的應付款額均按合同終止表進(jìn)行。
 
94.3 The procedures for termination are implemented immediately after the project manager has issued a termination certificate.
合同終止程序應在項目經(jīng)理簽發(fā)合同終止證書(shū)后立即實(shí)施。
 
94.4 Within thirteen weeks of termination, the project manager certifies a final payment to or from the contractor which is the project manager’s assessment of the amount due on termination less the total of previous payments.
在合同終止后十三周內,項目經(jīng)理簽發(fā)應付承包商的或承包商應付回的最后款額的付款證書(shū)。最后款額即是經(jīng)項目經(jīng)理審核在合同終止時(shí)的應付款額減去先前已付款額。
 
94.5 After a termination certificate has been issued, the contractor does no further work necessary to complete the works.
在合同終止證書(shū)簽發(fā)后,承包商不需再實(shí)施為完成合同工程所必要的工作。
 
95 Reasons for termination 合同終止的理由
95.1 Either party may terminate if the other party has done one of the following or its equivalent.
若某一當事方有下列行為或有類(lèi)似行為,另一當事方可終止合同。
 
(1) If the other party is an individual and has presented his petition for bankruptcy, had a bankruptcy order made against him ,had a receiver appointed over his assets or made an arrangement with his creditors.
若某一當事方為個(gè)體,并且已提交了要求破產(chǎn)的申請,已收到要他破產(chǎn)的指令,接管他的財產(chǎn)的人已指定,或已與他的債權人達成了協(xié)議。
 
(2) If the other party is a company or partnership and hashad a winding-up order made against it, had a provisional liquidator appointed to it ,passed a resolution for winding-up (other than in order to amalgamate or reconstruct) ,had an administration order made against it ,had a receiver, receiver and manager, or administrative receiver appointed over the whole or a substantial part of its undertaking or assets  or made an arrangement with its creditors .
若某一當事方為公司或合伙公司,并且已收到公司解散令,已對其指定了臨時(shí)清算人,已通過(guò)解散的決定(并非為合并或重組),已收到對公司破產(chǎn)的行政指令,公司的所有財產(chǎn)、資產(chǎn)或大部分財產(chǎn)、資產(chǎn)已有接管人、接管并管理人、或資產(chǎn)接管人,或已與他的債券人達成了協(xié)議。
 
95.2 The employer may terminate if the project manager has notified that the contractor has defaulted in one of the following ways and not put the default right within four weeks of the notification.
若項目經(jīng)理已通知承包商有下列過(guò)錯之一,并且在通知后四周內未停止該過(guò)錯,雇主可終止合同。
 
Substantially failed to comply with his obligations .Not provided a bond or guarantee which this contract requires.Appointed a subcontractor for substantial work before the project manager has accepted the subcontractor .
實(shí)質(zhì)上未履行其合同義務(wù),未提供本合同所要求的保函或擔保,在項目經(jīng)理認可前,已將實(shí)質(zhì)工程分包給該分包商。
 
95.3 The employer may terminate if the project manager has notified that the contractor has defaulted in one of the following ways and not stopped defaulting within four weeks of the notification.
若項目經(jīng)理已通知承包商有下列過(guò)錯之一,并且在通知后四周內未停止該過(guò)錯,雇主可終止合同:
 
 Substantially hindered the employer or others .Substantially broken a health or safety regulation .
 實(shí)質(zhì)上妨礙了雇主或其他方,實(shí)質(zhì)上違反了健康或安全規章制度。
 
95.4 The contractor may terminate if the employer has not paid an amount certified by the project manager within thirteen weeks of the date of the certificate (R16).
若雇主在項目經(jīng)理簽發(fā)付款證書(shū)之日后十三周內,未支付所核準的款額,承包商可終止合同。
 
95.5 Either party may terminate if war or radioactive contamination has substantially affected the contractor’s work for 26 weeks (R17) orthe parties have been released under the law from further performance of the whole of this contract (R18).
任一當事方可終止合同,若由于戰爭或放射性污染造成對承包商工作的嚴重影響已達26周,或根據法律,當事雙方已可不再履行本合同。
 
95.6 If the project manager has instructed the contractor to stop or not to start any substantial work or all work and an instruction allowing the work to restart or restart or start has not been given within thirteen weeks,
若項目經(jīng)理已指令承包商任何重要部分或全部工程的停工或不得開(kāi)工,而且在十三周內未發(fā)給復工或開(kāi)工的指令:
 
the employer may terminate if the instruction was due to a default by the contractor ,the contractor may terminate if the instruction was due to a default by the employer  and either party may terminate if the instruction was due to any other reason.
 若該指令系因承包商的違約行為引起,雇主可終止合同,若該指令系因雇主的違約行為引起,承包商可終止合同,若該指令系因任何其他原因引起,任一當事方可終止合同。
 
96 Procedures on termination合同終止程序
96.1 On termination, the employer may complete the works himself or employ other people to do so and may use any plant and materials to which he has title (P1).
當合同終止時(shí),雇主可自行或雇用他人實(shí)施合同工程,并可使用所有權屬他的任何設備和材料。
 
96.2 The procedure on termination also includes one or more of the following as set out in the termination table.
合同終止時(shí)的程序也包括合同終止表中所示的下列一項或幾項:
 
 The employer may instruct the contractor to leave the site, remove any equipment, plant and materials from the site and assign the benefit of any subcontract or other contract related to performance of this contract to the employer.  The employer may use any equipment to which he has title. The contractor leaves the working areas and removes the equipment.
雇主可指令承包商離開(kāi)工地現場(chǎng),從工地現場(chǎng)撤離施工設備、設備和材料,并將與本合同實(shí)施有關(guān)的任何分包合同和其他合同的權益轉讓給雇主。 雇主可使用所有權屬他的施工設備。承包商離開(kāi)施工作業(yè)區,撤離施工設備。
 
97 Payment on termination合同終止時(shí)的付款
97.1 The amount due on termination includes an amount due assessed as for normal payment, the actual cost for plant and materials. within the working areas or to which the employer has title and of which the contractor has to accept delivery, other actual cost reasonably incurred in expectation of completing the whole of the works, any amounts retained by the employer and a deduction of any unrepaid balance of an advanced payment.
合同終止時(shí)應付款額包括按正常付款計價(jià)的應付款額;下列設備和材料的實(shí)際成本:在施工作業(yè)區內的,或雇主擁有所有權且承包商必須認可的已到現場(chǎng)的貨物;為完成整個(gè)合同工程預期將合理發(fā)生的其他實(shí)際成本;雇主保留的任何款額;以及預付款余額未返還的扣減額。
 
97.2 The amount due on termination also includes one or more of the following as set out in the termination table.
合同終止時(shí)應付款額也包括合同終止表中所示下列一項或幾項:
 
The forecast actual cost of removing the equipment.
撤離施工設備的預期實(shí)際成本。
 
A deduction of the forecast of the additional cost to the employer of completing the whole of the works.
雇主完成整個(gè)合同工程預期增加費用的扣減額。
 
The fee percentage applied to下列各項按間接費率計算的費用:
for options A, B, C and D, any excess of the total of the prices at the contract date over the price for work done to date or for options E and F, any excess of the first forecast of the actual cost for the works over the price for work done to date less the fee.
對選項A, B, C, 和D, 合同生效日的合同價(jià)款總額超過(guò)迄今已完工程總價(jià)的部分,或對選項E和F,合同工程第一次預期實(shí)際成本總額超過(guò)迄今已完工程總價(jià)減去間接費的部分。
